If any term or provision of this Agreement is determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part thereof shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement. If any provision or part thereof of this Agreement is stricken in accordance with the provisions of this section, then this stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.

Severability. If any term or provision of this Agreement is determinedheld to be illegal, unenforceable,invalid or invalid in wholeunenforceable under present or in part for any reason,future laws effective during the term hereof, the provision shall be fully severable and this Agreement shall be construed and enforced as if such illegal, unenforceable,invalid or unenforceable provision were never a part hereof; and the remaining provisions hereof shall remain in full force and effect and shall not be affected by the illegal, invalid provisions or part thereofunenforceable provision or by its severance herefrom. Furthermore, in lieu of such illegal, invalid or unenforceable provision, there shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement. If any provision oradded automatically as part thereof of this Agreement is stricken in accordance with the provisions of this section, then this strickena provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenorits terms to the strickensuch illegal, invalid or unenforceable provision as is legally possible.may be possible and be legal, valid and enforceable.

If any term or provision of this Agreement is determined to beor shall become illegal, unenforceable,invalid or invalidunenforceable, in whole or in part for any reason, such illegal, unenforceable, or invalidpart, the remaining provisions or part thereofshall nevertheless be and remain valid and subsisting and the said remaining provisions shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement. If any provision or part thereof ofconstrued as if this Agreement is stricken in accordance withhad been executed without the provisions of this section, then this stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.illegal, invalid or unenforceable portion.
