Any and all personnel hired by Carter, as subcontractors, contractors, employees, consultants, agents or otherwise (collectively “Independent Staff”) shall be the responsibility of Carter. Carter will inform all Independent Staff in writing at the time that such Independent Staff are hired by Carter, that such Independent Staff are not employees of Trecora and that Trecora has no present or future obligation to employ such Independent Staff or provide such Independent Staff with any compensation or employment benefits. Incentive Stock Options may be granted only to Employees.
