In further consideration of the compensation to be paid to Executive hereunder, Executive acknowledges that in the course of his employment with the Company Group, he has and will continue to become familiar with the Company Group’s trade secrets and with other Confidential Information concerning the Company Group and that his services shall be of special, unique and extraordinary value to the Company Group. Therefore, Executive agrees that while an employee of the Company Group, Executive will not directly or indirectly compete against any member of the Company Group or directly or indirectly divert or attempt to divert any business from any member of the Company Group anywhere such company is doing business.

Executive acknowledges that the business of the Company is highly competitive and that the Company will provide Executive with access to Confidential Information. Executive acknowledges that this Confidential Information constitutes a valuable, special and unique asset used by the Company in its business to obtain a competitive advantage over competitors. Executive further acknowledges that protection of such Confidential Information against unauthorized disclosure and use is of critical importance to the course of hisCompany in maintaining its competitive position. Executive agrees that Executive will not, at any time during or after Executive's employment with the Company Group, he has and will continue to become familiar with the Company Group’s trade secrets and with otherCompany, make any unauthorized disclosure of any Confidential Information concerningof the Company Group and that his services shall beCompany, or make any use thereof, except in the carrying out of special, unique and extraordinary valueExecutive's employment responsibilities to the Company Group.
