No Violation. The execution and delivery of the Borrower Basic Documents, the consummation of the transactions contemplated by the Borrower Basic Documents and the fulfillment of the terms hereof and thereof will not # conflict with, result in any breach of any of the terms and provisions of, or constitute (with or without notice or lapse of time or both) a default under, the Formation Documents or any Contractual Obligation of the Borrower, # result in the creation or imposition of any Lien upon any of the Borrower’s properties pursuant to the terms of any such Contractual Obligation, other than this Agreement, or # violate any Applicable Law.

No Violation. The execution and delivery of the BorrowerServicer Basic Documents, the consummation of the transactions contemplated by the BorrowerServicer Basic Documents and the fulfillment of the terms hereof and thereof will not # conflict with, result in any breach of any of the terms and provisions of, or constitute (with or without notice or lapse of time or both) a default under, the Formation DocumentsServicer’s certificate of incorporation, bylaws or any Contractual Obligation of the Borrower,Servicer, # result in the creation or imposition of any Lien upon any of the Borrower’s properties pursuant to the terms of any such Contractual Obligation, other than this Agreement, or # violate any Applicable Law.

Section # Non-Contravention. The execution and delivery by Borrower of the Transaction Documents executed by Borrower Basic Documents,and the performance and consummation of the transactions contemplated by the Borrower Basic Documentsthereby do not and the fulfillment of the terms hereof and thereof will not # conflict with,violate its certificate of incorporation or bylaws, # violate in any material respect any Requirement of Law applicable to Borrower; # violate any provision of, or result in anythe breach of any ofor the terms and provisionsacceleration of, or constitute (with or withoutentitle any other Person to accelerate (whether after the giving of notice or lapse of time or both) a default under, the Formation Documents or, any material Contractual Obligation of the Borrower,Borrower; or # result in the creation or imposition of any Lien upon any property, asset or revenue of the Borrower’s propertiesBorrower (except such Liens as may be created in favor of Agent pursuant to this Agreement or the terms of any such Contractual Obligation, other than this Agreement, or # violate any Applicable Law.Transaction Documents).
