“One Stop” has the meaning set forth in the preamble.

“Stop Issuance Notice” has the meaning specified in [Section 2.19].

Section # Brokers. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by the Transaction Agreements based on arrangements made by or on behalf of One Stop or any of its Affiliates.

“One Stop Interest” has the meaning set forth in Section 2.04(a).

Section # Indemnification By One Stop. Subject to the other terms and conditions of this ARTICLE VII, One Stop will indemnify and defend each of [[Organization A:Organization]] and the Jacoma Indemnified Parties against, and will hold each of them harmless from and against, and will pay and reimburse CONTRIBUTION AGREEMENT

Company — means WING STOP HOLDING CORPORATION, a Georgia corporation or any successor thereto.

Legend on Certificates. Any Shares issued or transferred to the Participant pursuant to Section 8 of this Agreement shall be subject to such stop transfer orders and other restrictions as the Committee may deem advisable under the Plan or the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such Shares are listed, and any applicable Federal or state laws or relevant securities laws of the jurisdiction of the domicile of the Participant, and the Committee may cause a legend or legends to be put on any certificates representing such Shares to make appropriate reference to such restrictions.

The One Stop Indemnified Parties will only be entitled to indemnification pursuant to Section 7.03 with respect to a Loss directly incurred by [[Organization A:Organization]] to the extent any indemnification of, or payments to, [[Organization A:Organization]] with respect to the matter giving rise to such Loss do not constitute full payment of all Losses suffered or incurred by such One Stop Indemnified Parties with respect thereto.

Orders. All orders for the Products shall be in writing, and the originals shall be submitted to Company.

Any breach or non-fulfillment of any covenant, agreement or obligation to be performed by One Stop pursuant to this Agreement.
