No Shop. Seller agrees that it will not, and will cause its directors, officers, managers, members, employees, agents, consultants, lenders, financing sources, advisors or other representatives, including legal counsel, accountants and financial advisors, not to, directly or indirectly # solicit, initiate or encourage any inquiry, proposal, offer or contact from any Person (other than Buyer and its Affiliates and representatives) relating to any transaction involving the sale of the Partnership Securities (an “Acquisition Proposal”), or # participate in any discussion or negotiation regarding, or furnish any information with respect to, or assist or facilitate in any manner, any Acquisition Proposal or any attempt to make an Acquisition Proposal. Seller shall immediately cease, and cause to be terminated, any and all contacts, discussions and negotiations with third parties regarding any of the foregoing, and Seller will notify Buyer immediately if any Person makes any proposal, offer, inquiry or contact related to an Acquisition Proposal and provide Buyer with the details thereof (including the Person making such offer, inquiry or contact and a copy of all written communication in connection therewith) and their response thereto.

No Shop. From the Execution Date through the Initial Closing and, with respect to Crestwood Pipeline East, through the earlier of Second Closing Date or the termination of the transactions contemplated hereby to occur at the Second Closing pursuant to Section 8.2, Crestwood shall not take, nor shall it permit any of its Affiliates, officers, directors, employees or representatives to take, any action to solicit, initiate or engage in discussions or negotiations with, or enter into any agreement with, any Person (other than CEGPS or any of its Affiliates) concerning any sale of any of the Equity Interests of the applicable Contributed Entities or Newco, any merger of any of the applicable Contributed Entities or Newco, or any sale of all or any significant portion of the assets of any of the applicable Contributed Entities (each such transaction, an “Acquisition Transaction”). Notwithstanding the foregoing, Crestwood or any of its Affiliates may respond to any unsolicited proposal regarding an Acquisition Transaction by indicating that this Agreement contains an exclusivity agreement pursuant to which Crestwood and its Affiliates are unable to entertain any proposals or offers or engage in any negotiations or discussions concerning an Acquisition Transaction for as long as the exclusivity agreement remains in effect.

Section # No-Shop.

No shop. So long as this Note is outstanding, the Borrower shall not enter into any transaction or arrangement with any party other than the Holder, structured in accordance with, based upon, or related or pursuant to, in whole or in part, Section 3(a)(9) of the Securities Act (a “3(a)(9) Transaction”), without prior written consent of the Holder.

No animals, birds, bicycles or vehicles shall be brought into or kept in the Premises. The Premises shall not be used for manufacturing or commercial repairing or for sale or display of merchandise or as a lodging place, or for any immoral or illegal purpose, nor shall the Premises be used for a public stenographer or typist; barber or beauty shop; telephone, secretarial or messenger service; employment, travel or tourist agency; school or classroom; commercial document reproduction; or for any business other than specifically provided for in the Tenant’s lease. Tenant shall not cause or permit in the Premises any disturbing noises which may interfere with occupants of this or neighboring Buildings, any cooking or objectionable odors, or any nuisance of any kind, or any inflammable or explosive fluid, chemical or substance. Canvassing, soliciting and peddling in the Building are prohibited, and each tenant shall cooperate so as to prevent the same.
