No Prohibited Persons. No Seller Party nor Guarantor nor any of its Affiliates, officers, directors, partners or members or any Eligible Asset or the Mortgagor related to any such Eligible Asset is an entity or person (or to any Seller Party’s or Guarantor’s knowledge, owned or controlled by an entity or person): # that is listed in the Annex to, or is otherwise subject to the provisions of Executive Order 13224 issued on September 24, 2001 (“[[Unknown Identifier]]”); # whose name appears on the United States Treasury Department’s Office of Foreign Assets Control (“OFAC”) most current list of “Specifically Designated National and Blocked Persons” (which list may be published from time to time in various mediums including, but not limited to, the OFAC website, http:www.treas.gov/ofac/t11sdn.pdf); # who commits, threatens to commit or supports “terrorism”, as that term is defined in EO13224; or # who is otherwise affiliated with any entity or person listed above (any and all parties or persons described in [clauses (i) through (iv) above] are herein referred to as a “Prohibited Person”).

Prohibited Persons. Neither Supplier nor any Related Person appear on any list of prohibited persons maintained by the United States or other applicable government or Government Authority (“Prohibited Lists”), including the list of “Specially Designated Nationals and Other Blocked Persons” maintained by the U.S. Department of Treasury, and the “Denied Persons List” maintained by the U.S. Bureau of Industry & Security. Supplier monitors all changes to the Prohibited Lists and ensures continuing compliance therewith. Supplier shall # immediately remove any Related Person identified on a Prohibited List from any involvement whatsoever related to any Supply of Products or rendering of any Services, # immediately inform [[OUTSET:Organization]] of such identification, # cooperate with [[OUTSET:Organization]] in any investigation thereof, and # take any measures [[OUTSET:Organization]] reasonably may request to rectify or address any violation of this [Section 8(g)] that is discovered.

Neither PMC nor any of its Affiliates, officers, directors, partners or members, is an entity or person (or to Sellers’ knowledge after due inquiry, owned or controlled by an entity or person): # that is listed in the Annex to, or is otherwise subject to the provisions of EO13224; # whose name appears on the United States Treasury Department’s OFAC most current list of “Specifically Designated National and Blocked Persons” (which list may be published from time to time in various mediums including, but not limited to, the OFAC website, http:www.treas.gov/ofac/t11sdn.pdf); # who commits, threatens to commit or supports “terrorism”, as that term is defined in EO13224; or # who is otherwise affiliated with any entity or person listed above.

No part of the proceeds of the Loan will be used, directly or indirectly, for any payments to any governmental official or employee, political party, official of a political party, candidate for political office, or anyone else acting in an official capacity, in order to obtain, retain

Prohibited Persons and Transactions. Purchaser and, to Purchaser’s Knowledge, each Person owning a direct or indirect interest in Purchaser is # currently in compliance with and shall at all times during the term of this Agreement (including any extension thereof) remain in compliance with the regulations of OFAC (including those named on any OFAC List) and any statute, executive order (including the September 24, 2001, Executive Order Blocking Property and Prohibiting Transactions with Persons Who Commit, Threaten to Commit, or Support Terrorism), or other governmental action relating thereto, # not currently identified on any OFAC List, and # not a person or entity with whom a citizen of the United States is prohibited to engage in transactions by any trade embargo, economic sanction, or other prohibition of United States law, regulation, or Executive Order of the President of the United States. None of the funds or other assets of Purchaser constitute property of, or, to Purchaser’s Knowledge, are beneficially owned, directly or indirectly, by any Embargoed Person (as hereinafter defined). To Purchaser’s Knowledge, no Embargoed Person has any interest of any nature whatsoever in Purchaser (whether directly or indirectly).
