[[AstraZeneca:Organization]] covenants and agrees that from the Effective Date until the expiration of the Term, # it shall retain, the lawful right to grant the license granted to Licensee hereunder; and # neither it nor its Affiliates shall assign, transfer, license, convey its right, title or interest in or to or grant any other Encumbrance to or under, any [[AstraZeneca:Organization]] Patents or [[AstraZeneca:Organization]] Know-How, whether by written agreement or otherwise, that # conflicts with the rights and licenses granted to Licensee hereunder; or # could reasonably be expected to diminish Licensee’s rights hereunder. If during the Term [[AstraZeneca:Organization]] or its Affiliates enter into any written agreement with any Third Party with respect to any [[AstraZeneca:Organization]] Patents or [[AstraZeneca:Organization]] Know-How, then, upon execution of such agreement, [[AstraZeneca:Organization]] shall promptly (but no later than ​ after such execution) provide notice and a copy thereof to Licensee.
