No Injunction, etc. There shall be no Law or Order that is in effect that prohibits the consummation of any of the transactions contemplated by this Agreement and no Action before any Governmental Entity shall be pending which seeks to prevent or delay the consummation of the transactions contemplated by this Agreement or which challenges the enforceability of this Agreement; and

No Injunction, etc. There shall be no Law or Order that is in effect that restrains, restricts or prohibits the consummation of any of the transactions contemplated by this Agreement and no Action before any Governmental Entity shall be pending which seeks to prevent or delay the consummation of the transactions contemplated by this Agreement or which challenges the enforceability of this Agreement; and Agreement.

No Injunction, etc. ThereGovernmental Restraint. No order, decree or injunction of any Governmental Entity shall be in effect, and no Law shall have been enacted or Orderadopted, that is in effect thatenjoins, prohibits or makes illegal the consummation of any of the transactions contemplated by this AgreementAgreement, and no Action before any Governmental Entitywith respect to the transactions contemplated by this Agreement shall be pending whichthat seeks to preventrestrain, enjoin, prohibit or delay the consummation of the transactions contemplated by this Agreement or which challenges the enforceability of this Agreement; and Agreement.

No court or other Governmental Authority shall have issued an order, injunction, decree or judgment, and there shall be no LawAction threatened in writing by any Governmental Authority or Order that is in effect that prohibits thepending before a court or other Governmental Authority, restraining, enjoining, materially delaying or otherwise prohibiting consummation of the Transactions. No court or other Governmental Authority shall have promulgated, entered or issued, or determined to be applicable to this Agreement, any of the transactions contemplated by this Agreement and no Action before any Governmental Entity shall be pending which seeks to prevent or delayapplicable Law making the consummation of the transactions contemplated by this Agreement or which challengesTransactions illegal, and no proceeding with respect to the enforceabilityapplication of this Agreement; andany such applicable Law shall be pending.

No statute, rule, regulation, executive order, decree, ruling or injunction shall be no Lawhave been enacted, entered, promulgated or Order that is in effect thatendorsed by any court or governmental authority of competent jurisdiction which prohibits the consummation of any of the transactions contemplated by this Agreement and no Action before any Governmental Entity shall be pending which seeks to prevent or delay the consummation of the transactions contemplated by this Agreement or which challenges the enforceability of this Agreement; and Agreement.

No Order shall be no Law or Order that is in effect that prohibits the consummation of any of the transactions contemplatedissued by this Agreement and no Action before any Governmental Entity shall be pending which seeks to preventAuthority restraining or delayprohibiting the consummation of the transactions contemplated by this Agreement or which challenges the enforceability of this Agreement; and Agreement.

No Injunction, etc. ThereOrder (whether temporary, preliminary or permanent) by any Governmental Body of competent jurisdiction restraining, enjoining or otherwise prohibiting consummation of the transactions contemplated hereby shall have been issued and be continuing in effect, and no LawLegal Requirement shall have been enacted, issued, entered, promulgated or Order that is in effectenforced by any Governmental Body that prohibits theor makes illegal consummation of any of the transactions contemplated by this Agreement and no Action before any Governmental Entity shall continue to be pending which seeks to prevent or delay the consummation of the transactions contemplated by this Agreement or which challenges the enforceability of this Agreement; and in effect.
