Other Agreements/Warranties. Employee warrants that he is not bound by the terms of a confidentiality agreement or non-competition agreement or any other agreement with a former employer or other third party which would preclude Employee from accepting employment with the Company or which would preclude Employee from effectively performing Employee’s duties for the Company. Employee further warrants that Employee has the right to make all disclosures that Employee will make to the Company during the course of Employee’s employment with the Company. Employee agrees that Employee shall not disclose to the Company, or seek to induce the Company to use, any confidential information in the nature of trade secrets or other proprietary information belonging to others and that in the event that the Company directs Employee to perform tasks that would result in the disclosure or use of any such confidential information, that Employee shall notify the Company in advance of any such disclosure.

Employee represents and warrants to the Company that # the Company has not made any representations, warranty or other third party which would preclude Employee from acceptingotherwise provided any advice, legal or otherwise, that Employee’s employment with the Company as contemplated by this Agreement will neither infringe on or which would preclude Employee from effectively performing Employee’s duties for the Company. Employee further warrants thatviolate any such obligations, restriction, covenants, commitments, agreements or rights, and # Employee has the right to make all disclosures that Employee will make to the Company during the courseconsulted with an attorney of Employee’s employment withchoice regarding the Company. Employee agrees thatforegoing and has not relied on any inducements, promises, or representations regarding the foregoing from the Company, any of its affiliates or any of their respective representatives. Without limiting the foregoing, Employee shall not use or disclose to the Company, or seek to induce the Company to use, any confidential information in the nature of trade secrets or other proprietary informationconfidential information, or property belonging to others and that inany of Employee’s former employers or any other person or entity, without proper authorization from them. Additionally, the eventCompany agrees that the Company directsexistence of, or its receipt of, any notice, litigation or cause of action against or involving the Employee by any former employer of Employee relating to perform tasks that would result inany such obligations, restriction, covenants, commitments, or agreements to which Employee may be bound, or the disclosure or userights of any such confidential information,other person or entity, whether contractual or otherwise, that may be inconsistent with Employee’s obligations under this Agreement shall not be Cause for termination, as defined in Section 5.1(a), and shall not give rise to termination of Employee shall notify the Company in advancefor Cause unless otherwise ordered by a court of any such disclosure.competent jurisdiction.
