No Other Amendments. This Amendment shall be deemed to be a part of and incorporated into the Agreement. In the event of a conflict between this Amendment and the Agreement, this Amendment shall control. Except as expressly set forth in this Amendment, all of the terms and conditions of the Agreement, including without limitation rights and obligations with respect to Patents and Know-How, shall remain unchanged and are ratified and confirmed in all respects and remain in full force and effect.
No Other Amendments. The Partnership Agreement has not been amended other than by this Amendment and, as amended by this Amendment, the Partnership Agreement is and remains in full force and effect. In the event of any conflict between this Amendment and the Partnership Agreement, the terms of this Amendment shall prevail.

Except as previously and specifically supplemented hereby, all of the terms and conditions of the Agreement are hereby ratified and remain in full force and effect in accordance with their terms. In the case of a conflict between the Agreement and the First Amendment, the latter shall prevail.
No Other Amendments. In all other respects, the terms and provisions of the Promissory Note are ratified and reaffirmed hereby, are incorporated herein by this reference and shall be binding upon the parties to this Amendment.
