The commission of any fraud, misappropriation, embezzlement or other dishonest act that makes the Participant ineligible for coverage under the Company’s fidelity bond or otherwise makes the Participant ineligible for continued employment; or

the conviction of the Executive of a criminal offense involving moral turpitude, including, but not limited to, theft, fraud, embezzlement, forgery, misappropriation or willful misapplication or of a criminal offense of similar character involving dishonest acts;

conviction for, or entry of a plea of nolo contendere to, a felony involving any act of moral turpitude, dishonesty or fraud against, or the misappropriation of material property belonging to, the Company or its affiliates;
