No Misappropriation. To the knowledge of Unum, the conception and reduction to practice of any inventions and the use or development of any other Know-How within the Unum Background Technology have not constituted or involved the misappropriation of trade secrets or other rights or property of any Third Party.

To the knowledge of SGI, the conception and reduction to practice of any inventions and the use or development of any other Know-How within the SGI Background Technology have not constituted or involved the misappropriation of trade secrets or other rights or property of any Third Party.

Notice of Infringement or Misappropriation. Unum has not received any written notice from any Third Party asserting or alleging that any research, development, use, manufacture, sale, offer for sale or importation of ACTR T-cells by Unum has infringed or misappropriated, or would infringe or misappropriate, the intellectual property rights of any Third Party.

SGI has not received any written notice from any Third Party asserting or alleging that any research, development, use, manufacture, sale, offer for sale or importation of SGI Antibodies by SGI has infringed or misappropriated, or would infringe or misappropriate, the intellectual property rights of any Third Party.

During the five (5) year period immediately preceding the Closing Date, # no Target Company nor any former or current product or service of (including the manufacture, importation, use, offer for sale, sale distribution or other exploitation thereof), or operation of, the Business has infringed upon, misappropriated or otherwise violated any Intellectual Property rights of any third party, and # no Target Company has received any written charge, complaint, claim or notice (including an offer to license) alleging any such infringement, misappropriation or violation. There is no pending Proceeding, and in the last five (5) years there has been no claim asserted or threatened against any of the Target Companies that # alleges any such claim of infringement, misappropriation or other violation of any Intellectual Property rights of any Person or # challenges the ownership, use, patentability, registration, validity or enforceability of any Owned Intellectual Property. No Person has notified any of the Target Companies in writing that any of such Person’s Intellectual Property rights are infringed, misappropriated or otherwise violated by the Target Companies or any Target Company requires a license to any of such Person’s Intellectual Property rights. To the Knowledge of the Sellers, there is no actual unauthorized use, interference, disclosure, infringement, misappropriation or other violation by any Person of any of the Owned Intellectual Property, and no written claims alleging such infringement, misappropriation or other violation have been made against during the past three (3) years against any Person by any of the Target Companies.

Third-Party Activities. To Unum’s knowledge, there are no activities by Third Parties that would constitute infringement or misappropriation of the Unum Background Technology (in the case of pending claims, evaluating them as if issued).

Trade Secrets. During Employee’s employment by the Company, Employee shall do what is reasonably necessary to prevent unauthorized misappropriation or disclosure and threatened misappropriation or disclosure of the Company’s or any of its subsidiaries’ Trade Secrets and, after termination of employment, Employee shall not use or disclose the Company’s or any of its subsidiaries’ Trade Secrets as long as they remain, without misappropriation, Trade Secrets.
