In the event you are entitled to benefits under this Plan (as described in this Section IV (Plan Benefits)) and to severance benefits under any other plan, policy [[Address A:Address]] agreement of [[Address A:Address]] with the Company and/[[Address A:Address]] Employer (except as contemplated in Section IV.E. (Equity Treatment)), you will be eligible to receive the greater of the aggregate benefits payable under this Plan [[Address A:Address]] the aggregate benefits payable under such other plan, policy [[Address A:Address]] agreement, with no duplication of benefits between this Plan and such other plan, policy [[Address A:Address]] agreement. Further, your participation in this Plan shall not otherwise bar [[Address A:Address]] limit your participation in any such other plan, policy [[Address A:Address]] agreement.
No Duplication of Severance Benefits. The severance and other benefits provided in [Article 3] and [Article 4] are mutually exclusive of each other, and in no event shall Executive receive any severance or other benefits pursuant to both [Article 3] and [Article 4].

Except as otherwise noted herein, during the Term of this Agreement the compensation to be paid to the Executive hereunder will be in lieu of any similar severance or termination compensation (compensation based directly on the Executive’s annual salary or annual salary and bonus) to which the Executive may be entitled under any other Company or Affiliate severance or termination agreement, plan, program, policy, practice or arrangement (collectively, “Severance Plans”). The Executive affirmatively waives any rights he may have to payments or benefits provided under the Severance Plans to the extent the Executive receives similar payments or benefits under this Agreement. The Executive’s entitlement to any compensation or benefits of a type not provided in this Agreement will be determined in accordance with the Company’s or its Affiliates’ employee benefit plans and other applicable programs, policies and practices as in effect from time to time.
