No Default. Immediately prior to and after giving effect to this Amendment, no event shall have occurred and be continuing that would constitute a Default or Event of Default under the Credit Agreement;

immediately prior to and immediately after giving effect to the Amendment, no Default or Event of Default shall have occurred and be continuing;

at the time of, and immediately after giving effect to, this Amendment, no Event of Default or Default shall have occurred and be continuing or would result therefrom;

No Default or Event of Default shall have occurred and be continuing or shall result after giving effect to this Amendment;

Immediately after giving effect to this Amendment, no Default or Event of Default shall have occurred and be continuing.

after giving effect to this Amendment, no Default or Event of Default shall exist under the Credit Agreement or under any other Loan Document;

Immediately after giving effect to this Amendment, no event has occurred and is continuing which constitutes a Default or an Event of Default.

Default. Both immediately before and immediately after giving effect to this Amendment, no Default or Event of Default shall exist.

Immediately before and immediately after giving effect to this Amendment Agreement, no Default or Event of Default exists.

No Event of Default. Immediately after giving effect to this Amendment, no Potential Default or an Event of Default has occurred and is continuing or exists.

immediately prior to and after giving effect to this Amendment, no Default and no Event of Default exists and each Credit Party is in full compliance with the Credit Agreement and each of the other Credit Documents to which such Credit Party is a party;
