No Default. Neither the Borrower nor any Subsidiary thereof is in default under or with respect to, or a party to, any Contractual Obligation that could, either individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. No Default has occurred and is continuing or would result from the consummation of the transactions contemplated by this Agreement or any other Loan Document.

No Default. No Default or Event of Default has occurred and is continuing.

No Default. After giving effect to this Amendment, no Event of Default, Unmatured Event of Default or Servicer Default exists or shall exist.

No Default As of the Closing Date, no Event of Default or Potential Default shall have occurred and be continuing

No Default. No Event of Default or Default shall have occurred and be continuing on such date, or would exist after giving effect to the Advances requested to be made, on such date; and

No Default. No Security Party is in default under any material agreement by which it is bound, or is in default in respect of any material financial commitment or obligation;

No Default. As of the Closing Date and each Advance Date, # no fact or condition exists that could (or could, with the passage of time, the giving of notice, or both) constitute an Event of Default and # no event that has had or could reasonably be expected to have a Material Adverse Effect has occurred and is continuing.

No Default. On each applicable Representation and Warranty Date, no Default or Event of Default shall have occurred and be continuing on such date or after giving effect to the extension of credit requested to be made on such date.
