ASLAN PHARMACEUTICALS PTE LTD (Reg. No. ​), a company incorporated in Singapore with a business address at UE Square (West Wing), 83 Clemenceau Avenue, #12-03, Singapore 239920 (“Company”),

No Government or University Funding. Except as set forth in [Schedule 2.19(f)] of the Company Schedules, no # government funding or governmental grants; # facilities of a university, college, other educational institution or research center; or # funding from any Person was used in the development of the Company Intellectual Property. Except as set forth in [Schedule 2.19(f)] of the Company Schedules, to the knowledge of the Company, no employee, consultant or independent contractor of the Company who was involved in, or who contributed to, the creation or development of any of the Company Intellectual Property, has performed services for or otherwise was under restrictions resulting from his/her relations with any government, university, college or other educational institution or research center during a period of time during which any of the Company Intellectual Property were created or during such time that such employee, consultant or independent contractor was also performing services for or for the benefit of the Company, nor has any such person created or developed any of the Company Intellectual Property with any governmental grant.

Use of UNIVERSITY’s Name. The use of the name of UNIVERSITY, or any contraction thereof, in any manner in connection with the exercise of rights under this LICENSE AGREEMENT is expressly prohibited without the prior written consent of UNIVERSITY, provided that, notwithstanding the foregoing, LICENSEE shall have the right to identify UNIVERSITY as the licensor and, under conditions of confidentiality, to disclose the terms of this LICENSE AGREEMENT to prospective investors, acquirors, sublicensees, strategic partners, investment bankers, and regulatory authorities, in connection with its financing, regulatory, licensing, development, and stockholder relations activities or that it may deem to be required in any prospectus, offering memorandum, or other document or filing prepared in connection with its compliance obligations under applicable securities law or other applicable law or regulation.

UNIVERSITY makes no warranties that any patent will issue on UNIVERSITY TECHNOLOGY or INVENTIONS. UNIVERSITY does not warrant the validity or enforceability of any patent included in the PATENT RIGHTS or that practice under such patents shall be free of infringement.

East China Normal University and the department of mathematics and other departments of the university will provide as many supports and services as possible to Party A, so long as it does not violate the laws and regulations and damage reputation of the university.

Inspections made under [Section 4.3] shall be at the expense of UNIVERSITY, unless an underpayment to UNIVERSITY exceeding ​ of the amount properly due UNIVERSITY with respect to the audited period is discovered in the course of any such inspection, whereupon all ​ costs of such inspection shall be paid by LICENSEE. LICENSEE will promptly pay to UNIVERSITY the full amount of any underpayment, together with interest thereon at the lower of # the then-current prime lending rate as published by the American East Coast edition of the Wall Street Journal or # the maximum rate of interest allowed by law.
