Mutual Representations. Except as may be disclosed in [Schedule 9.1], which may be updated within five (5) days following the HSR Clearance Date, each of AGTC and LICENSEE hereby represents, warrants and covenants to the other Party as of the Execution Date and the Effective Date as follows:

Each Party represents and warrants to the other as of the Effective Date that it has the legal right and power to enter into this Agreement, to extend the rights and licenses granted or to be granted to the other in this Agreement, and to fully perform its obligations hereunder.

Each party hereto represents and warrants that as of the Effective Date: it is, and will remain, a corporation duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; it has the authority to enter into this Agreement; the execution and delivery of this Agreement has been authorized by all requisite corporate action; this Agreement is and will remain a valid and binding obligation of the executing party, enforceable in accordance with its terms, subject to laws of general application relating to bankruptcy, insolvency and the relief of debtors; the individual executing this Agreement on behalf of such party is authorized to do so; there is no action, suit or proceeding, at law or in equity, before or by any court or governmental authority, pending or, to the best of such party's knowledge, threatened against it, wherein an unfavorable decision, ruling or filing would materially adversely affect its performance of its obligations hereunder or the other transactions contemplated hereby, or which, in any way, would adversely affect the enforceability of this Agreement, or any other agreement or instrument entered into by it in connection with the transactions contemplated hereby; and, during the Term it will comply with all Applicable Laws and regulations regarding its obligations arising under this Agreement, including but not limited to compliance with the U.S. Federal Food, Drug, and Cosmetic Act .
