Mutual Nondisparagement. You agree not to disparage the Company, and the Company’s officers, directors, employees, shareholders and agents, in any manner likely to be harmful to them or their business, business reputations or personal reputations. Provided that you remain in compliance with the obligations contained herein, the Company agrees to direct its officers and directors not to disparage you in any manner likely to be harmful to your personal or business reputations. Notwithstanding the foregoing, all parties may respond accurately and fully to any request for information if required by legal process. In addition, nothing in this provision or this Agreement is intended to prohibit or restrain the parties in any manner from making disclosures that are protected under the whistleblower provisions of federal or state law or regulation.

Employee agrees that Employee will not make any voluntary statements, written or oral, or cause or encourage others to make any such statements that defame, disparage or in any way criticize the personal and/or business reputations, practices or conduct of Company or any of the other Released Parties. Mutual Nondisparagement. The Executive and the Company each agree that, following the Executive’s termination of employment for any reason, neither the Executive nor the Company will make any public statements that materially disparage the other party. The Company shall not be liable for any breach of its obligations under this paragraph if it informs its directors and executive officers, as such term is defined in Rule 3b-7 promulgated under the Exchange Act, of the content of its covenant hereunder and takes reasonable measures to ensure that such individuals honor such covenant. Notwithstanding the foregoing, nothing in this [Section 9(c)] shall prohibit any person from making truthful statements when required by order of a court or other governmental or regulatory body having jurisdiction or to enforce any legal right including, without limitation, the terms of this Agreement.

Mutual Nondisparagement. Executive agrees to refrain from any disparagement, defamation, libel, or slander of any of the Releasees, and agrees to refrain from any tortious interference with the contracts and relationships of any of the Releasees. The Company agrees to refrain from any disparagement, defamation, libel, or slander of Executive. Executive understands that the Company’s obligations under this paragraph shall extend only to the Company’s current executive officers and members of its Board of Directors and only for so long as each officer or member is an employee or director of the Company.

Mutual Nondisparagement. You agree not to disparage the Company, and the Company’s officers, directors, employees, shareholders and agents, in any manner likely to be harmful to them or their business, business reputations or personal reputations. Likewise, the Company agrees to direct its officers and directors not to disparage you in any manner likely to be harmful to you or your personal or business reputations or relationships. Notwithstanding the foregoing, nothing in this Agreement or any other agreement between the parties prohibits you or the Company from responding accurately and fully to any request for information or disclosure of documents if required by law, court order, subpoena or other legal process, in any criminal, civil, or regulatory proceeding or investigation, or in any legal dispute between the parties. In addition, nothing in this provision or this Agreement is intended to prohibit or restrain the parties in any manner from making disclosures that are protected under the whistleblower provisions of federal or state law or regulation. You and the Company will mutually agree, in advance, on a public statement, as set forth in Exhibit D attached hereto, to be included in the press release regarding your departure from the Company to be issued on September 19, 2019. You will direct any future requests for an employment reference or verification of your employment with the Company to the Company’s most senior Human Resources official and, in response to any such request, the Company’s most senior Human Resources official will disclose only your dates of employment, last position held and the contents of Exhibit D.

The Company agrees to instruct its officers and directors not to disparage you in any manner likely to be harmful to you or your business or personal reputation. Notwithstanding the foregoing, you and the Company (including each of its officers and directors) may respond accurately and fully to any request for information if required by legal process or in connection with a government investigation. In addition, nothing in this provision or this Agreement is intended to prohibit or restrain any party in any manner from making disclosures that are protected under the whistleblower provisions of federal law or regulation or under other applicable law or regulation.

The Executive, the Company, and the Bank each agree that, following the Executive’s termination of employment for any reason, none of the Executive, the Company, or the Bank shall, directly or indirectly, make any public statements that materially disparages # [[Bank:Organization]] or the Affiliated Entities or any of their respective directors, officers, or employees, in the case of the Executive, or # the Executive, in the case of the Company or the Bank. Neither the Company nor the Bank shall be liable for any breach of its obligations under this Section 10(b) if it informs its directors and executive officers, as such term is defined in Rule 3b-7 promulgated under the Securities Exchange Act of 1934, as amended, of the content of its covenant under this Section 10(b) and takes reasonable measures to ensure that such individuals honor the Company’s or the Bank’s, as applicable, agreement under this Section 10(b). Notwithstanding the foregoing, nothing in this Section 10(b) shall prohibit the Executive from making truthful statements when required by order of a court or other governmental or regulatory body having jurisdiction or to enforce any legal right including, without limitation, the terms of this Agreement.

Mutual Nondisparagement and References. Except as otherwise provided in Section 17 below, Employee shall refrain from all conduct, verbal or otherwise, that disparages or damages the reputation, goodwill, or standing in the community of the Company or any of the other Released Parties. The Company agrees that any individuals who are officers and board members of the Company as of the date Employee executes this Agreement (for as long as such individuals are employed by the Company) shall refrain from all conduct, verbal or otherwise, that disparages or damages the reputation, goodwill, or standing in the community of Employee. Employee shall direct all prospective employers inquiring or reasonably likely to inquire with the Company about his employment to the Company’s then current Chief Executive Officer or the Company’s Chief People Officer (or such individuals’ successor(s) and Chairman of the Board, Bob Murley. A disparaging statement is any communication, oral or written, which would tend to cause the recipient of the communication to question the business condition, integrity, competence, fairness, or good character of the person or entity to whom the communication relates. This provision will not prohibit the parties: # from speaking freely with their attorneys; # from responding to what a party believes to be disparaging, defamatory or slanderous statements made by or on behalf of the other party to the extent necessary to correct or refute such statements, provided that the complaining party has first notified the other party of the purported statement and the source thereof and given the other 7 days to address, explain, mitigate or withdraw the alleged statement; or # from testifying truthfully where compelled or requested by any court, arbitrator, governmental agency, administrative body or other legal processes, including in connection with the enforcement of this Agreement.
