Non-Disparagement. During the Employment Term and thereafter, Executive shall not disparage any Company Entity, or any Company Entity directors, officers, employees, products or services. and shall take no action which is intended, or would reasonably be expected, to harm any Company Entity or Company Entity directors, officers, employees, products or services or their reputation or which would reasonably be expected to lead to unwanted or unfavorable publicity to a Company Entity. The parties agree and acknowledge that this non-disparagement provision is a material term of this Agreement, the absence of which would have resulted in the Company refusing to enter into this Agreement.

Non-Disparagement. During Employee’s employment with and thereafter, Employee will not make, issue, release or authorize any written or oral statements, derogatory or defamatory in nature, about or its subsidiaries or their respective stockholders, members, directors, managers, officers or employees. However, nothing in this paragraph prohibits Employee from making truthful statements required by legal process issued by a court or tribunal of competent jurisdiction, and/or to any federal, state, or local government agency.

Non-Disparagement. shall not, at any time during his employment by the Company and its affiliates and thereafter, make statements or representations, or otherwise communicate, directly or indirectly, in writing, orally or otherwise, or take any action which may, directly or indirectly, disparage the Company or any of its subsidiaries or affiliates or their respective officers, directors, employees, advisors, businesses or reputations. Notwithstanding the foregoing, nothing in this Agreement shall preclude from making truthful statements that are required by applicable law, regulation or legal process.

Non-Disparagement. Employee will not, during the term or after the termination or expiration of this Agreement or Employee’s employment, make disparaging statements, in any form, about Ceridian, its officers, directors, agents, employees, products or services which Employee knows, or has reason to believe, are false or misleading.

Executive agrees not to make disparaging, critical or otherwise detrimental comments to any person or entity concerning the Company, its officers, directors, trustees, and employees or the services or programs provided or to be provided by the Company and the Company agrees not to make any disparaging, critical or otherwise detrimental comments to any person or entity concerning Executive.

Non-Disparagement. You and the Group agree that neither will, nor induce others to, Disparage the Group or any of their past or present officers, directors, employees or products, or you. “Disparage” will mean you or any Group officer or director making comments or statements to the press, the Group’s employees or any individual or entity with whom the Group has a business relationship, or any prospective new employer of yours, that would adversely affect in any manner: # the conduct of the business of the Group (including, without limitation, any products or business plans or prospects); or # the business reputation of the Group, or any of its products, or its past or present officers, directors, employees, stockholders and affiliates, or you. Nothing in this [Section 7(f)] shall prevent you or representatives of the Group from # pleading or testifying, to the extent that he or she reasonably believes such pleadings or testimony to be true, in any legal or administrative proceeding if such testimony is compelled or requested, # from otherwise complying with legal requirements, or # your making any truthful and normal competitive comments and statements that do not violate [Section 7] of this Agreement or, directly or indirectly, mention the Group or any of its executives or officers and are not directed at customers or employees of the Group.

Non-disparagement. Executive agrees that both during the Employment Period and thereafter, the Executive shall not make or publish any statements or comments that disparage or injure the reputation or goodwill of Adtalem or any of its affiliates, or any of its or their respective officers or directors, or otherwise make any oral or written statements that a reasonable person would expect at the time such statement is made to likely have the effect of diminishing or injuring the reputation or goodwill of Adtalem, or any of its affiliates, or any of its or their respective officers or directors; provided, however, nothing herein shall prevent the Executive from providing any information that may be compelled by law. Likewise, Adtalem and its affiliates, as represented by their respective Directors and Officers, shall not both during the Employment Period and thereafter make or publish any statements or comments that disparage or injure the reputation of the Executive, or otherwise make any oral or written statements that a reasonable person would expect at the time such statement is made to likely have the effect of diminishing or injuring the reputation of the Executive; provided, however, nothing herein shall prevent Adtalem from providing any information that may be compelled by law.

Non-disparagement. Employee specifically agrees and covenants that he or she will not directly or indirectly disparage the Company or any subsidiary or affiliate of the Company, or any of their respective officers, directors, employees, attorneys or representatives, or any of their respective products or services in any manner, at any time, to any person or entity. “Disparage” is defined as, but not limited to, any utterance whatsoever either verbal, in writing, by gesture or any behavior of any kind that might tend to or actually harm or injure the Company or any subsidiary or affiliate of the Company, whether intended or not.

Non-Disparagement. Employee and Employer mutually agree and promise that they will not undertake any harassing or disparaging conduct directed at each other, and that they will refrain from making any negative, detracting, derogatory, and unfavorable statements about each. Employee further agrees and promises that he will not induce or incite claims of discrimination, wrongful discharge, or any other claims against Employer by any other person. Employer and Employee hereby agree and acknowledge, however, that the terms of this paragraph 9 would not and do not prevent either party from providing truthful information in response to a legal subpoena and/or other legal process.

Non-Disparagement. For a term of one (1) year beginning on the last day of your employment with , you shall make no disparaging remarks regarding or relating to Anadarko, its affiliates, or any employee or director of Anadarko or its affiliates. The non-disparagement requirements set forth in this paragraph # are subject to the provisions of paragraph # (“Disclosures”) below.
