Mutual Non-Disparagement. I agree that I will not make, publish, or communicate to any person or entity in any public form any defamatory or disparaging remarks, comments, or statements concerning the Company or its business, employees, customers or affiliates. I understand this provision is not meant to restrict my rights under Section 7 of the National Labor Relations Act. Company agrees that it will not make, publish, or communicate to any person or entity in any public form any defamatory or disparaging remarks, comments, or statements concerning you.

Mutual Non-Disparagement. Mutual Non-Disparagement. Neither Party nor any of its representatives shall make any oral or written statement about the other Party or its representatives that is intended or reasonably likely to disparage the other Party or its representatives, or otherwise degrade the other Party’s reputation or the reputation of any of its representatives in the business or legal community, or in the online food delivery services industry.

Mutual Non-Disparagement. During the Restricted Period, # the CCC Signatories shall not, and shall cause the Restricted Persons not to make, or cause to be made, by press release or other public statement to the press or media, any statement or announcement that constitutes an ad hominem attack on, or otherwise disparages, the Company, its officers or its directors or any person who has served as an officer or director of the Company in the past and # the Company shall not, and shall cause its directors, officers, partners, members, employees, agents (in each case, acting in such capacity) and Affiliates not to, make, or cause to be made, by press release or other public statement to the press or media, any statement or announcement that constitutes an ad hominem attack on, or otherwise disparages, the CCC Group, any of their respective Affiliates, Associates, subsidiaries, successors or assigns, or any of its or their respective current or former officers, directors, employees, stockholders, agents, attorneys, advisors or representatives. The foregoing shall not restrict the ability of any Person to # comply with any subpoena or other legal process or respond to a request for information from any governmental authority with jurisdiction over such Person; or # enforce such Person’s rights pursuant to this Agreement.

Mutual Non-Disparagement. Except to the extent allowed under the Permitted Disclosures and Actions provision, Executive agrees to refrain from any disparagement, defamation, libel, or slander of the Company or any of the other Releasees, and agrees to refrain from any tortious interference with the contracts and relationships of any of the Releasees. The Company similarly agrees to, and will instruct its executives and directors to, refrain from any disparagement, defamation, libel, or slander of Employee, noting that such instruction applies only for such period that these individuals maintain their roles as executives or directors of the Company.

Mutual Non-Disparagement. You agree that, subject to Paragraph 8 of this Agreement, from the date on which you sign this Agreement forward, you shall not take any actions or make any verbal or written statements to the public, future employers, current, former, or future employees of [[Parent:Organization]], or any other third party which may reflect negatively on [[Parent:Organization]], its affiliates, or its or their officers, directors, managers, employees, products, services, or business practices, except as may be permitted by law. You also represent and warrant that you have not taken any such actions or made any such statements up until the date on which you sign this Agreement. [[Parent:Organization]] and Parent agree that, subject to applicable law, from the date on which this Agreement was delivered to you, [[Parent:Organization]] and Parent shall not, and shall instruct their officers and directors to not, take any actions or make any verbal or written statements to the public, future employers, current, former, or future employees of [[Parent:Organization]], or any other third party which may reflect negatively on you. [[Parent:Organization]] and Parent represent and warrant that they have not taken any such actions or made any such statements up until the date this Agreement was delivered to you.

Mutual Non-Disparagement. [[Person A:Person]] agrees not to make critical, negative or disparaging remarks about the Company, its products/services, its subsidiaries and related companies, their insurers, their officers and directors, their employees or agents to others. [[Person A:Person]] also agrees not to disclose personal, private or confidential information about the Company or its subsidiaries and related companies, their insurers, their officers and directors, their employees, agents or customers. To the extent the NLRA applies to [[Person A:Person]], he understands that nothing in this paragraph 6 is intended to prohibit him from any activity that constitutes a concerted, protected activity under the NLRA, including commenting upon his terms and conditions of employment; and the obligations in this paragraph shall be interpreted consistent with the NLRA, but only to the extent the NLRA applies to [[Person A:Person]].

Subject to Section 7, each Norris Party agrees that, during the Standstill Period, neither it nor any of its Representatives (as defined below) shall, and it shall cause each of its Representatives not to, directly or indirectly, in any capacity or manner, make, express, transmit, speak, write or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support or participate in any of the foregoing), any remark, comment, message, information, declaration, communication or other statement of any kind, whether oral, in writing, electronically transferred or otherwise, that might reasonably be construed to be derogatory or critical of, or negative toward, or constitute an ad hominem attack on, or otherwise disparages, defames or damages the reputation or good name of Wrap or any of its Representatives, or any of their businesses, products or services.

Mutual Non-Disparagement. You agree to refrain from directly or indirectly engaging in publicity, including written, oral and electronic communication of any kind, or any other activity which would adversely affect in any manner # the conduct of the business of the Company and/or any of the Released Parties (including, without limitation, any business plans or prospects) or # the business reputation of the Company and/or any of the Released Parties, whether or not you believe the content of the publicity to be true or whether or not it is, in fact, true. Similarly, the Company represents and warrants that it will instruct all members of its Board of Directors and Executive Leadership Team to refrain from engaging in any publicity, including written, oral and electronic communication of any kind, which would adversely impact your ability to conduct business or your personal business reputation, whether or not they believe the content of the publicity to be true or whether or not it is, in fact, true. This paragraph does not apply to truthful testimony compelled or protected by applicable law or legal process.
