Mutual Non-Disparagement. The Parties shall not, and shall cause their Affiliates and their respective officers, directors, managers, employees and agents, and shall instruct their respective advisors, not to, directly or indirectly, make any public statements, comments or communications relating to the subject matter of this Agreement or the transactions contemplated by the SPA that would reasonably be expected to constitute disparagement of any other Party or any of their Affiliates or their respective officers, directors, managers, employees or agents or that may reasonably be considered to be derogatory or detrimental to the good name or business reputation of any other Party or any of their Affiliates or their respective officers, directors, managers, employees or agents. Where applicable, the obligations in the foregoing sentence apply to any public statements, comments, or communications in any form, whether oral, written, or electronic, excluding internal announcements and communications by a Party or its Affiliates and any communications between the Parties and their attorneys. The Parties further agree that they will not in any way solicit any such public statements, comments, or communications.
Mutual Non-Disparagement. I agree that I will not make, publish, or communicate to any person or entity in any public form any defamatory or disparaging remarks, comments, or statements concerning the Company or its business, employees, customers or affiliates. I understand this provision is not meant to restrict my rights under Section 7 of the National Labor Relations Act. Company agrees that it will not make, publish, or communicate to any person or entity in any public form any defamatory or disparaging remarks, comments, or statements concerning you.
Mutual Non-Disparagement. Subject to applicable law, each of the parties covenants and agrees that, during the Standstill Period, or if earlier, until such time as the other party or any of its agents, subsidiaries, affiliates, successors, assigns, officers, key employees or directors shall have breached this Section, neither it nor any of its respective agents, subsidiaries, affiliates, successors, assigns, officers, key employees or directors, shall in any way publicly disparage, call into disrepute, or otherwise defame or slander the other parties or such other parties’ subsidiaries, affiliates, successors, assigns, officers (including any current officer of a party or a party’s subsidiaries who no longer serves in such capacity following the execution of this Agreement), directors (including any current director of a party or a party’s subsidiaries who no longer serves in such capacity following the execution of this Agreement), employees, stockholders, agents, attorneys or representatives, or any of their products or services, in any manner that would damage the business or reputation of such other parties, their products or services or their subsidiaries, affiliates, successors, assigns, officers (or former officers), directors (or former directors), employees, stockholders, agents, attorneys or representatives.
Mutual Non-Disparagement Covenant. Executive agrees that he will not, at any time in the future, in any way disparage Company or its current and former officers, directors and employees, verbally or in writing, or make any statements to the press or to third parties that may be derogatory or detrimental to Company's good name or business reputation. Likewise, the officers and directors of Company will not, at any time in the future, make any derogatory or disparaging statements to any third parties about Executive, verbally or in writing. Nothing in the paragraph shall preclude either party from responding truthfully to inquiries made in connection with any legal or governmental proceeding pursuant to subpoena or other legal process.
Non-Disparagement. Employee, as well as their successors, affiliates, assigns, participants, agents, representatives, attorneys and all persons acting by, under, through or in concert with him, shall refrain from making remarks either orally or in writing, generally, specifically, or by implication, to the press, the electronic broadcast media, or to any other third person, regarding any facts or opinions which might tend to reflect adversely on the [[Organization A:Organization]], its products, services and/or its officers. If Employee wishes to make a public statement regarding the [[Organization A:Organization]], for example, by publishing an account of his or her time with the [[Organization A:Organization]] in a book or article, Employee may submit such statement(s) to the [[Organization A:Organization]] for prior review and consent, and the [[Organization A:Organization]] will respond in a mutually agreed timeframe with such consent not to be unreasonably withheld. Notwithstanding anything to the contrary contained in this paragraph, this covenant does not extend or apply to statements that may be made in any legal proceeding.
Non-Disparagement. Except as otherwise provided in [Subsection 18(a)(iii)] of this Agreement, the Executive agrees that while the Executive is employed by the Company and at all times following the termination of the Executive’s employment with the Company for any reason, the Executive will not take any action or make any statement which disparages the Company or its practices or which disrupts or impairs its normal operations, such that it causes a material adverse impact to the Company.
Non-Disparagement. The Executive shall not, during the Period of Employment or at any time thereafter, publish or communicate (other than statements made while employed by the Company or one of its affiliates in connection with carrying out the Executive's duties and responsibilities for the Company or any of its affiliates), in a manner intended to be public or that should reasonably be expected to become public (including, without limitation, through social media), disparaging or derogatory statements or opinions about the Company or any of its affiliates, stockholders, officers, employees, directors, or customers; provided that it shall not be a breach of this Section 4.6 for the Executive to testify truthfully in any judicial or administrative proceeding, to make statements or allegations in legal filings that are based on the Executive's reasonable belief and are not made in bad faith, or to make statements to a federal, state, or local government official, either directly or indirectly, and solely for the purpose of reporting or investigating a suspected violation of law.
At all times during the employment with the Company and for the Confidentiality Period under [Section 5.4] of this Agreement, neither party shall make (or cause to be made) to any Person any defamatory, disparaging or false statement about the other.
Non-Disparagement. You agree that you will not make any disparaging, remarks about LSI, its products, services, business affairs or employees. However, you understand that nothing in this Agreement is intended to prevent you from providing accurate information to any court, administrative agency or government entity, or in response to legal process or as otherwise required by law.
Non-Disparagement. The Parties agree not to defame, disparage or criticize each other at any time.
