Mortgages. Upon recording thereof in the appropriate recording office, each Mortgage is effective to create, in favor of the Collateral Agent, for its benefit and the benefit of the Secured Parties, legal, valid and enforceable perfected Liens on, and security interest in, all of the Loan Parties’ right, title and interest in and to the Mortgaged Property thereunder and the proceeds thereof, subject only to Liens permitted by [Section 7.01] and when the Mortgages are filed in the offices specified on [Schedule 7] to the Perfection Certificate dated the Closing Date (or, in the case of any Mortgage executed and delivered after the date thereof in accordance with the provisions of Sections 6.11, 6.13 and 6.16, when such Mortgage is filed in the offices specified in the local counsel opinion delivered with respect thereto in accordance with the provisions of Sections 6.11, 6.13 and 6.16), such Mortgage shall constitute fully perfected Liens on, and security interests in, all right, title and interest of the Loan Parties in the Mortgaged Property thereunder and the proceeds thereof, in each case prior and superior in right to any other Person, other than Liens permitted by [Section 7.01].
Documents, Mortgages, and Instruments. Each federal, state, commonwealth, local, foreign, or other governmental agency is authorized to accept any and all documents, mortgages, and instruments necessary or appropriate to effectuate, implement, or consummate the Plan, including the Restructuring Transactions, and this Confirmation Order.
The Note, Mortgages and Loan Documents. The Loan shall be evidenced by the Note and secured by the Mortgages, the Assignments of Leases and the other Loan Documents.
"Mortgages" shall mean any and all mortgages, deeds of trust, deeds to secure debt, leasehold mortgages, leasehold deeds of trust, deeds of immovable hypothec, or leasehold deeds to secure debt and other similar security documents delivered to as security for the Obligations.
Mortgage means each of the mortgages, deeds of trust or other real property security documents encumbering any Oil and Gas Properties or other real property executed by the Borrower or any of the other Loan Parties for the benefit of the Secured Parties as security for the Secured Obligations (including the Initial Mortgages), in each case, to be in form and substance reasonably satisfactory to the Administrative Agent, and Mortgages means all of such Mortgages collectively.
Schedule # Mortgages
Mortgages: mortgages, deeds of trust, ground leases or other security instruments which may now or hereafter encumber any portion of the Commercial/Garage Unit or the Property owned by Landlord.
Sector Allocation: Mortgages <= 60%
Subject to the terms of any Existing SNDA or Future SNDA (as hereinafter defined), this Lease, and all rights of Tenant hereunder, are, and shall continue to be, subject and subordinate in all respects to # all ground leases, overriding leases and underlying leases of the land and/or the building now or hereafter existing; # all mortgages that may now or hereafter affect the land, the Building and/or any of such leases, whether or not such mortgages shall also cover other lands and/or buildings; # each and every advance made or hereafter to be made under such mortgages; # all renewals, modifications, replacements and extensions of such leases and such mortgages; and # all spreaders and consolidations of such mortgages.
"Mortgages" means, individually and collectively, one or more mortgages, deeds of trust, or deeds to secure debt, executed and delivered by Parent, Borrower or any Subsidiary of Parent in favor of Agent, in form and substance reasonably satisfactory to Agent, that encumber the Real Property Collateral.
