The Company has complied in all material respects with, and all documentation prepared or used by the Company in connection with the origination, processing, underwriting and credit approval of any Mortgage Loan originated or purchased by the Company satisfied, # except as set forth in [Section 4.10(a)] or [Section 4.10(b)] to the Disclosure Schedule, all Applicable Laws with respect to the origination, insuring, purchase, sale, pooling, or Servicing of such Mortgage Loans, # the responsibilities and obligations relating to such Mortgage Loans set forth in any applicable Contract between the Company and any Agency, and # the applicable guidelines, handbooks and other requirements of any applicable Agency with respect to such Mortgage Loans.

Except as set forth in [Section 4.10(a)] or [Section 4.10(b)] of the Disclosure Schedule, each Company Loan was underwritten and originated, and the Mortgage Loan Documents maintained by the Company with respect thereto are being maintained by the Company in compliance with all Applicable Laws and, if applicable, the requirements of the Person acquiring such Company Loan, Agency, or insurer insuring such Company Loan (if any) in effect and applicable at the time such insurance was obtained, except, in each case, for immaterial violations. The Company has not done or omitted to do, or caused to be done or omitted to be done, any act, the effect of which would operate to invalidate, impair or be a breach of any mortgage-related Permits (including any mortgage-related Permits of any Agency or Governmental Authority).
