Modifications, Amendments or Waivers. No modifications or amendments to the Agreement and no waiver of any provisions hereof shall be valid unless made in writing signed by duly authorized representatives of the Parties.

Modifications or Amendments. No amendment, change or modification of this Agreement shall be valid unless in writing and signed by each of the parties hereto. Further, any amendment, change or modification of this Agreement must be approved in advance by the Board of Directors of the Company and reflected in the minutes of such Board's meetings or in an action by unanimous written consent.

Modifications; Waivers. This Release may not be modified, waived or changed in any manner by the undersigned unless agreed to in writing by Purchaser.
