Mitigation of Loss. Each Indemnified Party shall take and shall procure that its Affiliates take all such reasonable steps and action as are reasonably necessary or as the Indemnifying Party may reasonably require in order to mitigate any claims (or potential losses or damages) under this Article 15. Nothing in this Agreement shall or shall be deemed to relieve any Party of any common law or other duty to mitigate any losses incurred by it.

Nothing in this Agreement will or will be deemed to relieve any Party of any common law or other duty to mitigate any losses incurred by it.

Mitigation. The Executive shall not be obligated to seek other employment in mitigation of the amounts payable or arrangements made under any provision of this Agreement, and the obtaining of any such other employment shall in no event effect any reduction of the Company’s obligations to make the payments and arrangements required to be made under this Agreement. Any compensation payable to the Executive or for the benefit of the Executive under this Agreement may be reduced by, or offset against, any amount owing by the Executive to the Company or any of its Affiliates; provided, however, except as permitted under Section 409A, any deferred compensation (within the meaning of [Section 409A]) payable to the Executive or for the benefit of the Executive under this Agreement may not be reduced by, or offset against, any amount owing by the Executive to the Company or any of its Affiliates.
