Cell Medica shall also pay Baylor a one-time milestone payment on each Licensed Product which is a Distinct Product, within the period of time specified in [Section 5.14(d)] after the achievement of the corresponding milestone event achieved as set forth in the chart below in this [Section 5.14(a)(i)] (such chart, the “Milestone Chart” and each such milestone event set out in the Milestone Chart, a “Milestone Event”), the amount of such milestone payment is specified in accordance with the Milestone Chart for such Milestone Event achieved, as of the time of achievement of such Milestone Event in, as applicable, the country or the supra-national jurisdiction, if applicable, where, the IND, BLA or corresponding non-U.S. regulatory application, as applicable, has been allowed or approved for such Distinct Product as of the time of achievement of such Milestone Event (each such milestone payment, a “Milestone Payment”). Notwithstanding anything contained herein to the contrary, each Milestone Payment shall only # apply to the first Distinct Product to achieve (if any) each Milestone Event specified in the Milestone Chart, and # be payable once regardless of the number of Distinct Products to achieve such Milestone Event.

Milestone Payments. TubeSolar shall pay to Ascent the following milestone payments:

Milestone Payments. LICENSEE shall also pay BCM the following milestone payments set forth below:

INNOCOLL shall pay [[DURECT:Organization]] the corresponding amount following the occurrence of each milestone event set forth on subsections a), b) and c) below (each, a “Milestone Event”).

On a Product-by-Product basis, Lilly shall pay to [[Merus:Organization]] certain non-refundable, non-creditable milestone payments, as follows (subject to [Section 8.3.3]): # within ​ following any Product achieving a development or regulatory milestone event set forth in Table 8.3 below, by or on behalf of Lilly or its Affiliates (including by and through a Sublicensee acting within the scope of the license granted in Section 6.1) (each, a “Development/Regulatory Milestone Event”), Lilly shall pay to [[Merus:Organization]] the corresponding Milestone Payment indicated in Table 8.3 (each such Milestone Payment, a “Development/Regulatory Milestone Payment”); and # within ​ following the end of the Calendar Quarter in which any Product achieves a commercial milestone event set forth in Table 8.3, by or on behalf of Lilly or its Affiliates (including by and through a Sublicensee acting within the scope of the license granted in Section 6.1) (each, a “Commercial Milestone Event”), Lilly shall pay to [[Merus:Organization]] the corresponding Milestone Payment indicated in Table 8.3 (each such Milestone Payment, a “Commercial Milestone Payment”). The Development/Regulatory Milestone Events and Commercial Milestone Events may be referred to individually or collectively as “Milestone Events,” and Development/Regulatory Milestone Payments and Commercial Milestone Payments may be referred to individually or collectively as “Milestone Payments”. For clarity, each Milestone Payment shall be payable only once per Product (recognizing that the Milestone Events for the “first Indication for a Product” and “second Indication for a Product” will be separately payable once for each Product), no Milestone Payment shall be payable for subsequent or repeated achievements of the same Milestone Event with respect to the same Product.

Milestone Payments. In addition, in consideration of services performed by Bioeq to achieve the milestone events set forth below, Licensee shall pay to Bioeq the following one-time, non-refundable (except as provided in [Section 15.3.6]), non-creditable development milestone payments upon the first occurrence of any of the following milestone events; provided, that ​:

Milestone Payments. Zai shall notify NVCR in writing of the achievement by or on behalf of Zai, its Affiliates or sublicensees of any milestone event set forth in this [Section 9.2] promptly after the occurrence thereof, and Zai shall pay NVCR each non-refundable, non-creditable milestone payment set forth in the tables below within ​ calendar days of the achievement of such milestone event by or on behalf of Zai, its Affiliates or sublicensees.

Milestone Payments. Buyer shall promptly notify Seller in writing of the first achievement of each milestone event set forth below (each, a “Milestone Event”) by or on behalf of Buyer, and the Buyer shall make a one-time, cash payment in the amount below corresponding to such Milestone Event, within ​ after provision of such notice, to Seller of the Milestone Payment.

Milestone Payments. Within ​ of the receipt, by Licensee, of the approval of an NDA from the United States Food and Drug Administration (the "FDA"), or an equivalent approval from any other Regulatory Authority authorized to issue such approvals in markets other than the United States, for the first Licensed Product, Licensee shall make a one-time payment of ​ to UABRF.

Milestone Payments. AVEO shall pay to BIMA ​ percent (​) of all Milestone Payments received by AVEO after the second anniversary of the Amendment Effective Date. Such payments shall be made within ​ days after the end of any Calendar Quarter in which any such Milestone Payments are received by AVEO. As used in this Amendment No. 1, “Milestone Payments” means any and all payments by a Third Party to AVEO in connection with the achievement by AVEO or such Third Party (or any Sublicensee) of development, regulatory or commercial milestones relating to a Licensed Product, including sales-based milestones. For clarity, any upfront payments, payments for supplies or reimbursement of expenses are not included in Milestone Payments.
