Payment. All payments under this Agreement shall be made in shares of Verizon common stock. Subject to paragraph 7(a), as soon as practicable after the Vesting Date (but in no event later than two and one-half months after the applicable Vesting Date), the number of shares of the vested RSUs (minus any withholding for taxes) shall be paid to the Participant. If the Participant dies before any payment due hereunder is made, such payment shall be made to the Participants beneficiary, as designated under paragraph 11. Once a payment has been made with respect to a RSU, the RSU shall be canceled; however, all other terms of the Agreement, including but not limited to the Participants obligations and restrictions set forth in [Exhibits A] and B to this Agreement, shall remain in effect. Moreover, the Participant is required to hold all shares that are paid under the terms of this Agreement for a minimum of two years after the date the shares become vested. Thus, the Participant is required to hold all shares paid under this Agreement at least through May 4, 2020. Such restriction shall not apply if the Participant dies or becomes disabled at any time prior to the end of this two-year holding period.
Payment. The Board will compare the actual performance to the performance measures established for the performance period and determine the number of units to be paid and their value. Payment for units earned shall be wholly in cash, wholly in Stock or in a combination of the two, in a lump sum or installments, and subject to vesting requirements and such other conditions as the Board shall provide. The Board will determine the number of earned units to be paid in cash and the number to be paid in Stock. For Performance Units valued when awarded in shares of Stock, one share of Stock will be paid for each unit earned, or cash will be paid for each unit earned equal to either # the Fair Market Value of a share of Stock at the end of the Performance Period or # the Fair Market Value of the Stock averaged for a number of days determined by the Board. For Performance Units valued when awarded in cash, the value of each unit earned will be paid in its initial cash value, or shares of Stock will be distributed based on the cash value of the units earned divided by # the Fair Market Value of a share of Stock at the end of the Performance Period or # the Fair Market Value of a share of Stock averaged for a number of days determined by the Board.
Payment. In no event shall any shares be issued pursuant to the exercise of an Option until the Participant has made full payment for the shares of Company Stock (including payment of the exercise price and any Applicable Withholding Taxes). Company Stock purchased upon the exercise of an Option granted under the Plan shall be paid for as follows, provided that the Committee may impose such limitations and restrictions on payments with shares of Company Stock (including without limitation by “net share exercise”) as the Committee, in its discretion, deems advisable:

Payment. Payment of the Purchase Price for any Shares purchased pursuant to the Plan, together with an amount sufficient to satisfy any applicable federal, state, and local withholding tax requirements, may be made in cash (in U.S. dollars) or, where expressly approved for the Participant by the Board, in its sole and absolute discretion, and where permitted by law:
Payment. Each vested Restricted Stock Unit will entitle the Participant to receive one share of Stock (or other consideration of equal value, as determined by the Committee, in the event payment is made following a Change in Control). Subject to Section 6, shares of Stock (or other consideration, as applicable) will be issued to the Participant in full settlement of vested Restricted Stock Units during the 60-day period immediately following the date on which such Restricted Stock Units first became vested pursuant to Section 3. At no other time prior to the end of the Restricted Period will any Stock (or other consideration, as applicable) be issued for Restricted Stock Units pursuant to the Award. After the issuance of Stock (or other consideration, as applicable) to the Participant, the Participant will own such Stock (or other consideration, as applicable) free of all restrictions described herein. The Participant will not have the right to designate the taxable year of payment.
Payment. Guarantor is a beneficial owner of [[Organization B:Organization]] and/or an Affiliate of [[Organization B:Organization]] and the execution of the Warehouse Agreement and/or the discretionary purchase by [[Organization C:Organization]] of Participation Interests in Mortgage Loans subject to the terms and conditions of the Warehouse Agreement is a substantial and direct benefit to Guarantor. As an inducement to [[Organization C:Organization]] to extend financial accommodations to [[Organization B:Organization]], Guarantor, for value received, jointly and severally, does hereby unconditionally and absolutely guarantee the prompt and full payment and performance of the Guaranteed Obligations when due or declared to be due and at all times thereafter. Guarantor shall promptly pay the amount due thereon to [[Organization C:Organization]] without notice or demand, of any kind or nature, in lawful money of the United States of America.
Payment. The Award will be payable in cash, or Company common stock or similar equity, or a combination thereof, at the discretion of the Committee, to the Grantee as soon as practicable following the Committee's regularly scheduled meeting in February 2019, but in any event no later than December 31, 2019, provided the Committee determines that the Company has attained or exceeded at least one of its threshold goals set forth in the table above. The table below shows the percentage of the Grantee's annual compensation rate that would be payable if the specified goals were to be precisely attained (i.e., threshold, target or maximum) for all of the performance measurements set forth in the table above. For purposes of this Award, "annual compensation rate" refers to annual base salary rate as of December 31, 2018, and the average of the Grantee's award earned under the Company's Annual Executive Incentive Plan for each of the years in the performance period (2016, 2017 and 2018).
Payment. Upon termination of Executives employment, the Company shall pay to Executive all compensation to which Executive is entitled up through the date of termination, subject to any other rights or remedies of the Company or HoldCo, as applicable, under law; and thereafter all of the obligations of the Company or HoldCo, as applicable, under this Agreement shall cease.
Payment. Subject to the terms of this Agreement and the Plan, you shall receive one share of Common Stock with respect to each vested RSU subject to the Award within thirty (30) days of your Termination of Directorship (such date of settlement, the “Settlement Date”). For purposes of this Agreement, “Termination of Directorship” means, subject to [Section 17.13] of the Plan, that you have ceased to be a director of the Company; provided, that in the event that you become an Eligible Employee or a Consultant upon your ceasing to be a director, a Termination of Directorship shall not be deemed to have occurred until such time as you have “separated from service” as defined in Section 409A of the Code.
