Medical Coverage. In addition, the Company shall provide the Executive with medical, dental and vision insurance benefits (which may also cover, if applicable, the Executive’s spouse and eligible dependents) for three hundred sixty-five (365) days from the date of the Executive’s termination of employment or until such time as the Executive is eligible for group health coverage under another employer’s plan, whichever occurs first. In order to trigger the Company’s obligation to provide health care continuation benefits, the Executive must elect continuation coverage pursuant to the Consolidated Omnibus Budget Reconciliation Act of 1985, as amended (“COBRA”), upon such eligibility. The Company’s obligation shall be satisfied solely through the payment of the Executive’s COBRA premiums during the 365-day period, but only to the extent that such premiums exceed the amount that would otherwise have been payable by the Executive for coverage of the Executive and the Executive’s eligible dependents that were covered by the Company’s medical, dental, and vision insurance programs at the time of the Executive’s termination of employment had the Executive continued to be employed by the Company.

Medical Coverage. Employee may elect to extend Employee’s medical coverage (but not dental coverage) at the active premium rates as described in the document entitled “Information About Your Immediate Medical and Dental Options” (the “Medical Information Document”). Employee must make such election in accordance with the requirements set forth in the Medical Information Document.

Medical Coverage. Smathers shall have the option to convert and continue medical and dental insurance for himself and his eligible dependents after the Termination Date, as may be required or authorized by law under the Consolidated Omnibus Budget Reconciliation Act of 1985 (“COBRA”). The Company shall pay the cost of Smathers’ premiums to continue medical coverage pursuant to COBRA, at the same or reasonably equivalent medical coverage for Smathers (and, if applicable, Smathers’ eligible dependents) as in effect immediately prior to the Termination Date, for a period of six months, commencing on the Termination Date.

Continuation of Medical and Dental Coverage. Employee (or Employee’s surviving covered dependents) will have the option to continue medical and dental coverage at a reduced rate; provided, however, that such reduced rate shall cease at such time as Employee (or surviving covered dependent) is eligible for medical coverage either through Medicare or some other public program or through subsequent employment, whichever comes first, and whether or not Employee or dependent actually enrolls for such coverage. The reduced rate described in the immediately preceding sentence shall be the contribution rate charged by the Company to similarly situated active employees/dependents, as adjusted from time to time, during the period ending twelve (12) months after the end of the month of the Termination Date; and for any period thereafter, if applicable, the reduced rate shall be based on Employee’s age and years of credited service as of the Termination Date, using the manner that such rates would have been determined had Employee qualified for retiree benefits. Employee (or surviving covered dependents) shall complete and return all required forms to the Company and the insurance carriers in order to receive the benefits described in this paragraph. Employee (on behalf of Employee and any surviving covered dependents) further agrees that they shall promptly notify the Company when an event as described in this paragraph 2(c) of this Agreement has occurred, which terminates Employee’s (or any surviving covered dependent’s) eligibility for continued benefit coverage or coverage at a reduced rate. Such notification shall be directed to: Service Corporation, Human Resources Department, Attn: Payroll Manager, 1 Riverside Plaza, Columbus, OH 43215, 1-888-AEP-BENE (1-), or as the Company may otherwise direct by written notice provided to Employee (or any surviving covered dependents).

Medical, Health, Dental, Disability and Life Coverage. The Employee shall be eligible to participate in any medical, health, dental, disability and life insurance policy in effect for senior management of the Company (collectively, the "Senior Management").

The Company reserves the right to call for a medical examination to determine the CEO’s fitness to work on general or specific duties at any time.

Important! If you qualify for postretirement medical coverage, you may not elect both COBRA coverage and postretirement medical coverage—you may choose one or the other, but not both.
