Material Contracts. [Schedule 4.16] contains a true, correct and complete list of all the Material Contracts in effect on the Closing Date, and, together with any updates provided pursuant to [Section 5.1(l), (a)])] all such Material Contracts are in full force and effect, # no defaults currently exist thereunder, and # each such Material Contract has not been amended, waived, or otherwise modified except as permitted under this Agreement. True, correct and complete copies of all Material Contracts listed on [Schedule 4.16] have been delivered to the Purchasers. Except as would not be expected to have a Material Adverse Effect, Company, its Subsidiaries, and each Managed Company have been and are in compliance with the terms of all Material Customer Contracts. No event has occurred within the one (1) year period prior to the date of this Agreement that, with notice or lapse of time or both, would constitute a material breach, violation or default by Company, its Subsidiaries, or any Managed Company under any Material Customer Contract.

As of the Closing Date, [Schedule 3.25] sets forth a true and correct and complete list of all Material Contracts currently in effect. Except as permitted by [Section 5.32], all of the Material Contracts are in full force and effect and no material defaults currently exist thereunder.

Material Contracts. [Schedule 9.1.27] sets forth an accurate and complete list of all Material Contracts (including all amendments thereto) in effect on or as of the Closing Date to which any Borrower or any Restricted Subsidiary is a party or is bound (other than the Loan Documents). The Borrowers have delivered true, correct and complete copies of such Material Contracts to Administrative Agent on or before the Closing Date, subject to confidentiality restrictions contained therein. No Borrower or Restricted Subsidiaries is in breach or in default of or under any Material Contract which would reasonably likely result in a Material Adverse Effect and have not received any written notice of the intention of any other party thereto to terminate any Material Contract prior to the end of its current term.
