Amendments to Organizational Agreements and Material Contracts. (a) Materially amend or permit any material amendments to any Loan Party’s organizational documents # if such amendment would be adverse to the Administrative Agent or the Lenders in any material respect, and # without giving the Administrative Agent five Business Days’ prior written notice of such amendment; or # amend or permit any amendments to, or terminate or waive any provision of, any material Contractual Obligation if such amendment, termination, or waiver could reasonably be expected to result in a Material Adverse Effect.

Amendments to Organizational Agreements and Material Contracts. (a) Amend or permit any amendments to any Loan Party’s organizational documents; or # amend or permit any amendments to, or terminate or waive any provision of, any material Contractual Obligation, in each such case if such amendment, termination, or waiver would be adverse to Administrative Agent or the Lenders in any material respect.

“7.19 Amendments to Organizational Agreements, Material Contracts and Irish Intellectual Property License Documents. (a) Materially amend or permit any material amendments to any Loan Party’s organizational documents # if such amendment would be adverse to the Administrative Agent or the Lenders in any material respect, and # without giving the Administrative Agent five Business Days’ prior written notice of such amendment; # amend or permit any amendments to, or terminate or waive any provision of, any material Contractual Obligation if such amendment, termination, or waiver could reasonably be expected to result in a Material Adverse Effect; or (c) (i) amend or permit any amendments to, or terminate or waive any provision of, any contract, license, document or other agreement entered into in connection with the Irish Intellectual Property License if such amendment, termination or waiver would be adverse to the Administrative Agent or the Lenders or # assign to, or consent to the assignment to, any Person that is not an Affiliate (other than the Administrative Agent) of any such contract, license, document or agreement.”

(a) Amend or permit any amendments to any Loan Party’s organizational documents; or # amend or permit any amendments to, or terminate or waive any provision of, any material Contractual Obligation if such amendment, termination, or waiver would be adverse to the Administrative Agent or the Lenders in any material respect.

Section # Amendments to Organizational Agreements / Material Agreements . No Credit Party shall, nor shall it permit any of its Subsidiaries to, amend or permit any amendments to its Organizational Documents if such amendment could reasonably be expected to be materially adverse to the Lenders or the Administrative Agent. No Credit Party shall, nor shall it permit any of its Subsidiaries to, amend or permit any amendment to, or terminate or waive any provision of # any Material Contract other than any managing general agent or service company agreement entered into by any Credit Party or any Subsidiary of any Credit Party, unless such amendment, termination, or waiver would not have, and would not be expected to have, a Material Adverse Effect on the Administrative Agent or the Lenders, and # any Material Contract that is a managing general agent or service company agreement entered into by any Credit Party or any Subsidiary of any Credit Party, unless such amendment, termination, or waiver would not have, and would not be expected to have, an adverse effect on the Credit Parties, the Administrative Agent or the Lenders; provided, however, that the Credit Parties and their Subsidiaries shall be permitted to amend, terminate or waive any provision of a Material Contract to the extent expressly required to do so under Applicable Law or in writing by any Insurance Regulatory Authority, in each case, with prompt written notice of such amendment, termination or waiver to be provided to the Administrative Agent.

Section # Amendments to Organizational Agreements / Material Agreements. No Credit Party shall, nor shall it permit any of its Subsidiaries to, amend or permit any amendments to its Organizational Documents if such amendment could reasonably be expected to be materially adverse to the Lenders or the Administrative Agent. No Credit Party shall, nor shall it permit any of its Subsidiaries to, amend or permit any amendment to, or terminate or waive any provision of # any Material Contract other than any managing general agent or service company agreement entered into by any Credit Party or any Subsidiary of any Credit Party, unless such amendment, termination, or waiver would not have, and would not be expected to have, a Material Adverse Effect on the Administrative Agent or the Lenders, and # any Material Contract that is a managing general agent or service company agreement entered into by any Credit Party or any Subsidiary of any Credit Party, unless such amendment, termination, or waiver would not have, and would not be expected to have, an adverse effect on the Credit Parties, the Administrative Agent or the Lenders; provided, however, that the Credit Parties and their Subsidiaries shall be permitted to amend, terminate or waive any provision of a Material Contract to the extent expressly required to do so under Applicable Law or in writing by any Insurance Regulatory Authority, in each case, with prompt written notice of such amendment, termination or waiver to be provided to the Administrative Agent.
