means, per Share on a particular date, # if the Shares are listed on a national securities exchange, the last sales price on that date on the national securities exchange on which the Stock is then traded, or if no sales of Stock occur on such date, then on the last preceding date on which there was a sale on such exchange; or # if the Shares are not listed on a national securities exchange, but are traded in an over-the-counter market, the last sales price (or, if there is no last sales price reported, the average of the closing bid and asked prices) for the Shares on that date, or on the last preceding date on which there was a sale of Shares on that market; or # if the Shares are neither listed on a national securities exchange nor traded in an over-the-counter market, the price determined by the Administrator, in its discretion. Notwithstanding the foregoing, in the case of the sale of Shares, the actual sale price shall be the Fair Market Value of such Shares.

Fair Market Value” means, as of any date, the value of Shares determined as follows: # if the Shares are listed on any established stock exchange, its Fair Market Value will be the mean between the highest and lowest reported sales prices for such Shares as quoted on such exchange for such date, or if no sale occurred on such date, the last day preceding such date during which sales occurred, as reported in The Wall Street Journal or another source the Administrator deems reliable; # if the Shares are not traded on a stock exchange but is quoted on a national market or other quotation system, its Fair Market Value will be the mean between the highest and lowest reported sales price on such date, or if no sales occurred on such date, then on the last date preceding such date during which sales occurred, as reported in The Wall Street Journal or another source the Administrator deems reliable; or # if there is no regular public trading market for such Shares and it is not quoted on a national market or other quotation system, the Fair Market Value of the Shares shall be determined by the Administrator in good faith.

Last Reported Sale Price” of the shares of Common Stock on any Trading Day means # unless clause (ii) or (iii) applies, the closing sale price per share (or, if no closing sale price is reported, the average of the last bid and last ask prices or, if more than one in either case, the average of the average last bid and the average last ask prices) on such date as reported in composite transactions for the principal U.S. national or regional securities exchange on which the shares of Common Stock are traded; # if the shares of Common Stock are not listed for trading on a U.S. national or regional securities exchange on the relevant date, the last quoted bid price for the shares of Common Stock in the over-the-counter market on the relevant date as reported by OTC Markets Group Inc. or a similar organization; or # if the shares of Common Stock are not so traded or quoted, the average of the mid-point of the last bid and ask prices for the shares of Common Stock on the relevant date from each of at least three nationally recognized independent investment banking firms selected by the Company for this purpose.

Fair Market Value” as of a particular date shall mean: # if the Common Stock is admitted to trading on a national securities exchange, the fair market value of a Share on any date shall be the closing sale price reported for such share on such exchange on such date or, if no sale was reported on such date, on the last day preceding such date on which a sale was reported; # if the Shares are not then listed on a national securities exchange, the average of the highest reported bid and lowest reported asked prices for the Shares as reported by the National Association of Securities Dealers, Inc. Automated Quotations System or such other quotation system for the last preceding date on which there was a sale of such stock; or # if the Shares are not then listed on a national securities exchange or traded in an over-the-counter market or the value of such Shares is not otherwise determinable, such value as determined by the Committee in good faith and in a manner consistent with Code [Section 409A].
