The Grantee may exercise this Stock Appreciation Right by giving written notice of exercise to the Company specifying the number of shares of Stock underlying this Stock Appreciation Right to be exercised. The Grantee shall thereupon be entitled to receive, subject to Section 6 hereof, the largest whole number of shares of Stock with a value closest to, but not in excess of, the product of # the Fair Market Value of a share of Stock on the date of exercise less the Exercise Price per share, multiplied by # the number of shares of Stock underlying the Stock Appreciation Right that is being exercised.

The Option Exercise Form or the completion of the Alternative Exercise Procedure (as applicable) must be accompanied by payment in full for the number of Common Shares in respect of which the Option is being exercised, in cash, bank draft, certified cheque or other form of payment acceptable to the Company, made payable to the Company at its principal place of business at the time of the exercise of the Option.

The Optionee may exercise this Stock Option only in the following manner: from time to time on or prior to the Expiration Date of this Stock Option, the Optionee may give written notice to the Administrator of his or her election to purchase some or all of the Option Shares purchasable at the time of such notice. This notice shall specify the number of Option Shares to be purchased.

Manner of Exercise. An Option may be exercised by the Grantee in whole or in part from time to time, subject to the conditions contained in this Agreement and the Plan. The Options may be exercised by delivery in person, by facsimile or electronic transmission, or through the mail of written notice of exercise to the Company at its principal executive office in Minneapolis, Minnesota (or to the Company’s designee, as may be established from time to time by the Company and communicated to the Grantee), and by paying in full the total exercise price for the shares of Common Stock underlying the Options.

Manner of Exercise. This Option may be exercised only # during your lifetime, by you; # to the extent permitted by the Committee, by your designated beneficiary in the event of your death; and # after your death, by your transferees by will or the laws of descent or distribution. To exercise this Option, you must provide Learning Tree with # a written notice of exercise in the form attached hereto as Exhibit A, and # the full purchase price of the shares to be purchased # in cash or by check payable to the order of Learning Tree or # by delivery of shares of Common Stock of Learning Tree previously purchased on the open market or acquired more than six months previously through exercise of a stock option, and in your possession, valued at fair market value, or # in consideration received from a licensed broker under a cashless exercise program, or # any combination of the foregoing or such other consideration as permitted by applicable laws and the Committee. This Option may not be exercised for a fraction of a share and no partial exercise of this Option may be for less than # one hundred (100) shares or # the total number of shares then eligible for exercise, if less than one hundred (100) shares.

Manner of Exercise. The Option, or any exercisable portion thereof, may be exercised solely by delivery to the Secretary of the Company (or any third party administrator or other person or entity designated by the Company; for the avoidance of doubt, delivery shall include electronic delivery), during regular business hours, of all of the following prior to the time when the Option or such portion thereof becomes unexercisable under [Section 3.3] hereof:
