Within five Business Days after the date financial statements are required to be delivered pursuant to Section 6.01(a[[Borrower:Organization]] of the Nexstar Credit Agreement and the related Group Compliance Certificate has been delivered pursuant to Section 6.02(a[[Borrower:Organization]] of the Nexstar Credit Agreement, the Borrower shall cause to be prepaid an aggregate principal amount of Term Loans allocated by the Nexstar Borrower to the Borrower.

Mandatory Prepayment. Borrower covenants and agrees to make a mandatory prepayment to Lender equal to fifty percent (50%) of the Outstanding Balance on April 1, 2023.

If on any Computation Date, the aggregate balance of Revolving Advances plus Swing Loans plus the Dollar Equivalent of the Maximum Undrawn Amount of all outstanding Letters of Credit exceeds Availability, then Agent shall notify Borrower of the same. The Borrowers shall pay or prepay one (1) Business Day after receiving such notice such that the aggregate balance of Revolving Advances plus Swing Loans plus the Dollar Equivalent of the Maximum Undrawn Amount of all outstanding Letters of Credit does not exceed Availability after giving effect to such payments or prepayments.

Mandatory Prepayment. Within five (5) Business Days of receipt of any Net Cash Proceeds from a Prepayment Event, Borrowers shall at Agent’s election in its sole and absolute discretion, prepay the outstanding Advance by paying up to 75% of such Net Cash Proceeds. For the avoidance of doubt, no Prepayment Charge or charge pursuant to Section 2.5 shall apply to a prepayment in accordance with this [Section 2.4(b)]. Notwithstanding the foregoing, Net Cash Proceeds received at the closing of a sale of Parent’s Equity Interests of PellePharm, Inc. prior to December 31, 2018 shall not be required to be applied to the prepayment of the Secured Obligations as long as such Net Cash Proceeds are used by Parent for its ordinary course operations and investment activities pursuant to the terms of this Agreement or to make tax distributions to Parent and/or New Parent as permitted pursuant to [Section 7.7].

Mandatory Prepayment. Whenever the sum of # the outstanding principal balance of Revolving Credit Loans, plus # the outstanding principal balance of Swingline Loans, plus # the aggregate undrawn face amount of outstanding Letters of Credit issued pursuant to [Section 2.8] [Letter of Credit Subfacility] exceeds the aggregate Revolving Credit Commitments, the Borrower shall make, within one (1) Business Day after the Borrower learns of such excess and whether or not the Administrative Agent has given notice to such effect, a mandatory prepayment of principal equal to the excess of such sum over the aggregate Revolving Credit Commitments, together with accrued interest on such principal amount.

Contemporaneously with the delivery to the Agents and the Lenders of audited annual financial statements pursuant to [Section 7.01(a)(iii)], commencing with the delivery to the Agents and the Lenders of the financial statements for the Fiscal Year ended September 30, 2016 or, if such financial statements are not delivered to the Agents and the Lenders on the date such statements are required to be delivered pursuant to [Section 7.01(a)(iii)], on the date such statements are required to be delivered to the Agents and the Lenders pursuant to [Section 7.01(a)(iii)], the Borrowers shall # if the Leverage Ratio of the Parent and its Subsidiaries as of the end of such Fiscal Year is equal to or greater than 2.50:1.00, prepay the outstanding principal amount of the Loans in accordance with [Section 2.05(d)] in an amount equal to 75% of the Excess Cash Flow of the Parent and its Subsidiaries for such Fiscal Year, or # if the Leverage Ratio of the Parent and its Subsidiaries as of the end of such Fiscal Year is less than 2.50:1.00, prepay the outstanding principal amount of the Loans in accordance with [Section 2.05(d)] in an amount equal to 50% of the Excess Cash Flow of the Parent and its Subsidiaries for such Fiscal Year.

If any such Overadvance remains after repayment in full of the aggregate outstanding Revolving Credit Advances, Borrower shall provide cash collateral for the Letter of Credit Obligations (on terms and conditions acceptable to Lender) to the extent required to eliminate such Overadvance.
