Ownership of Properties. ​ and its Subsidiaries have good title, free of all Liens other than those permitted by Section 7.3(F), to all of the assets reflected in ​’s most recent consolidated financial statements provided to the Administrative Agent as owned by ​ and the Subsidiaries, except assets sold or otherwise transferred as permitted under Section 7.3(C).

Ownership of Properties. The Company and its Subsidiaries have good title, free of all Liens other than those permitted by [Section 7.3(F)], to all of the assets reflected in the Company’s most recent consolidated financial statements provided to the Administrative Agent as owned by the Company and the Subsidiaries, except assets sold or otherwise transferred as permitted under [Section 7.3(C)].

Ownership of Properties. On the date of this Agreement, the Borrower and its Principal Subsidiaries have good title, free of all Liens other than those permitted by [Section 6.13], to all of the Property and assets reflected in the Borrower’s most recent consolidated financial statements provided to the Administrative Agent as owned by the Borrower and its Subsidiaries.

5.15Ownership of Properties. Except as set forth on [Schedule 5.15], as of the Closing Date, the Borrower and its Subsidiaries will have good title, free of all Liens other than those permitted by [Section 6.11], to all of the Property and assets reflected in the Borrower’s most recent consolidated financial statements provided to the Administrative Agent as owned by the Borrower and its Subsidiaries.

Ownership of Properties. As of the Closing Date, [[Organization A:Organization]] and its Subsidiaries have valid title, free of all Liens other than those permitted by Section 6.12, to all the Property reflected as owned by [[Organization A:Organization]] and its Subsidiaries in the financial statements of [[Organization A:Organization]] referred to in Section 5.4, other than Property used, sold, transferred or otherwise disposed of since such date # in the ordinary course of business or # which are not material to the business of [[Organization A:Organization]] and its Subsidiaries taken as a whole.

Section # Title to Properties, etc. The Borrower and each of its Subsidiaries has good and marketable title, in the case of Real Property, and good title (or valid Leaseholds, in the case of any leased property), in the case of all other property, to all properties and assets necessary to the conduct of its respective business free and clear of Liens other than Permitted Liens.
