. Except as otherwise expressly permitted under this Agreement: # do or cause to be done all things required to maintain and preserve and keep in full force its existence as a Delaware limited liability company; # take all reasonable action required to maintain all material rights, privileges (including its good standing where applicable in the relevant jurisdiction), permits, licenses and franchises necessary or desirable in the normal conduct of its business, # perform all of its material obligations under the Project Documents to which it is a party; and # to engage only in the activities permitted by the Operative Documents, and activities related or incident thereto, except, in the cases of [clause (b) above], where the failure to take such actions could not reasonably be expected to have a Material Adverse Effect.

Maintenance of Existence. (a) Preserve, renew and maintain in full force and effect its and all its Subsidiaries’ legal existence under the Requirements of Law in their respective jurisdictions of organization, incorporation or formation, other than as otherwise expressly permitted hereunder; # take all commercially reasonable action to maintain all rights, privileges (including its good standing), permits, licenses and franchises necessary or desirable for it and all of its Subsidiaries in the ordinary course of its business, except in the case of clause (a) (other than with respect to Borrower) and [clause (b) above], # to the extent that failure to do so could not reasonably be expected to ​ or # pursuant to a transaction permitted by this Agreement; and # comply with all Requirements of Law of any Governmental Authority to which it is subject, except where the failure to do so could not reasonably be expected to ​.

Each Borrower and Guarantor shall at all times # preserve, renew and keep in full force and effect its corporate or limited liability company existence and rights and franchises with respect thereto and # maintain in full force and effect all licenses, trademarks, tradenames, approvals, authorizations, leases, contracts and Permits necessary to carry on the business as presently conducted or as conducted after the Effective Date, except as to any Borrower or Guarantor other than Parent as permitted in Section 9.7 hereto and except, as to clause (ii) only, where the failure to do so, individually or in the aggregate, has or could reasonably be expected to have a Material Adverse Effect.

. Maintenance of Existence. Preserve and maintain its corporate existence and good standing in the jurisdiction of its incorporation, and qualify and remain qualified as a foreign corporation in each jurisdiction in which such qualification is required.

Maintain and preserve, and (subject to [Section 7.4]) cause each other Loan Party to maintain and preserve, # its existence and good standing in the jurisdiction of its organization and # its qualification to do business and good standing in each jurisdiction where the nature of its business makes such qualification necessary, other than any such jurisdiction where the failure to be qualified or in good standing would not reasonably be expected to have a Material Adverse Effect.

Maintenance of Existence. The Owners shall at all times do or cause to be done all things necessary to maintain its corporate or other entity existence and to obtain and, once obtained, maintain all Authorizations necessary to carry on its business and own its assets in each jurisdiction in which it carries on business or in which its assets are located.

Maintenance of Existence. (a) The Parent Borrower will, and will cause each of its Subsidiaries to, # preserve, renew and keep in full force and effect its organizational existence and # take all reasonable action to maintain all rights, licenses, permits, privileges and franchises necessary for the conduct of its business, except, in each case, as otherwise permitted by [Section 7.3] and except, in the case of clause (i) (with respect to any Subsidiary other than the Canadian Borrowers, the Spanish Borrowers, the Swedish Borrowers and any Additional Borrower) and [clause (ii) above], to the extent that failure to do so would not reasonably be expected to have a Material Adverse Effect.
