A Letter of Credit shall be issued, amended, renewed or extended only if (and upon issuance, amendment, renewal or extension of each Letter of Credit the Borrower shall be deemed to represent and warrant that), after giving effect to such issuance, amendment, renewal or extension (i) the aggregate LC Exposure of the Issuing Bank (determined for these purposes without giving effect to the participations therein of the Lenders pursuant to paragraph (e) of this Section) shall not exceed $50,000,000; (ii) the total Revolving Dollar Credit Exposure shall not exceed the aggregate Dollar Commitments; (iii) the total Revolving Multicurrency Credit Exposure shall not exceed the aggregate Multicurrency Commitments; and (iv) the total Covered Debt Amount shall not exceed the Borrowing Base then in effect.

Limitations on Amounts. A Letter of Credit shall be issued, amended, renewed or extended only if (and upon issuance, amendment, renewal or extension of each Letter of Credit ODEC shall be deemed to represent and warrant that), after giving effect to such issuance, amendment, renewal or extension (i) the aggregate LC Exposure of the Issuing Lenders (determined for these purposes without giving effect to the participations therein of the Lenders pursuant to Section 2.04(e)) shall not exceed $150,000,000, (ii) the aggregate LC Exposure of each Issuing Lender shall not exceed its Issuing Lender Sublimit and (iii) the aggregate Revolving Credit Exposures plus the aggregate outstanding principal amount of all Competitive Loans shall not exceed the total Commitments.

A Letter of Credit shall be issued, amended, renewed or extended only if (and upon issuance, amendment, renewal or extension of each Letter of Credit the Company shall be deemed to represent and warrant that), after giving effect to such issuance, amendment, renewal or extension, and in each case subject to Section 2.10(b), (i) the Dollar Equivalent of the aggregate LC Exposure of each Issuing Lender (determined for these purposes without giving effect to the participations therein of the Lenders pursuant to paragraph (e) of this Section) shall not exceed $75,000,000, (ii) the Dollar Equivalent of the aggregate Revolving Credit Exposures shall not exceed the Aggregate Commitment, (iii) the Dollar Equivalent of the aggregate Revolving Credit Exposures in respect of Credit Events that are denominated in Foreign Currencies shall not exceed the Foreign Currency Sublimit, (iv) the Dollar Equivalent of the aggregate Revolving Credit Exposures in respect of Credit Events of the Subsidiary Borrowers shall not exceed the Subsidiary Borrower Sublimit and (v) the LC Exposure of any Issuing Lender shall not exceed its LC Commitment.

A Letter of Credit shall be issued, amended, renewed or extended only if (and upon issuance, amendment, renewal or extension of each Letter of Credit the Borrower shall be deemed to represent and warrant that), after giving effect to such issuance, amendment, renewal or extension (i) the aggregate LC Exposure of the applicable Issuing Bank requested to issue such Letter of Credit (determined for these purposes without giving effect to the participations therein of the Lenders pursuant to paragrap h (e) of this Section) shall not exceed the amount set forth opposite the name of such Issuing Bank on Schedule 2.05 (or such greater amount as such Issuing Bank may agree in its sole discretion); (ii) the total Revolving Dollar Credit Exposures of Dollar Lenders with Dollar Commitments then in effect shall not exceed the aggregate Dollar Commitments at such time; (iii) the total Revolving Multicurrency Credit Exposures of Multicurrency Lenders with Multicurrency Commitments then in effect shall not exceed the aggregate Multicurrency Commitments at such time; (iv) with respect to each Issuing Bank that is a Swingline Lender, the sum of such Swingline Lender’s outstanding Multicurrency Loans, its LC Exposure, its outstanding Swingline Loans and (without duplication) its other Swingline Exposure shall not exceed its Multicurrency Commitment then in effect; and (v) the total Covered Debt Amount shall not exceed the Borrowing Base then in effect.
