Delegation; Authority; JSC Cessation. The JSC may establish project teams comprised of representatives of the parties to take on projects and other tasks related to the Collaboration. The JSC and any such project team shall have only the powers assigned expressly to it in this [Section 2.7] and elsewhere in this Agreement, and shall not have any power to amend, modify or waive compliance with this Agreement or any other agreement between the parties. In furtherance thereof, each party shall retain the rights, powers and discretion granted to it under this Agreement and no such rights, powers or discretion shall be delegated or vested in the JSC or project team unless such delegation or vesting of rights is expressly provided for in this Agreement or the parties expressly so agree in writing. For the avoidance of doubt, the rights of the JSC and any project team to discuss, comment, review or monitor (and other similar activities) shall not require any party or designee thereof to act or be bound in any respect by such discussion, comment, review, or monitoring. Notwithstanding anything to the contrary in this Agreement, in no event will any action of the JSC or either party’s actions through the JSC constitute a breach or default of this Agreement that would result in a termination right pursuant to [Section 6.2(b), (c), or (d)])])]. The JSC shall remain in existence unless terminated by mutual written agreement of the parties or upon written notice from Licensee upon the cessation of activities performed by the parties under Collaboration; and, for clarity, no termination of the JSC shall result in termination or expiration of this Agreement.

Limitation on JSC Authority. The JSC shall conduct its activities in good faith and shall not have the power to # amend or modify the Parties’ respective rights and obligations under this Agreement, # waive either Party’s compliance with the terms and conditions of this Agreement, # determine any issue in a manner that would conflict with the express terms and conditions of this Agreement, # resolve any dispute between the Parties regarding such rights and obligations or # require the other Party to violate any applicable Law, ethical requirement or any agreement it may have with any Third Party. The JSC, JOC and JMC shall have no authority to amend or waive any terms of this Agreement.

JSC Authority. Except as provided in the Profit Share Product Exhibit, the JSC shall be a forum for information exchange and discussion only with respect to Licensed Products and has no decision-making authority.

Limitations of JSC Authority. The JSC will only have the powers expressly assigned to it in this Article 2 and elsewhere in this Agreement and will not have the authority to: # modify or amend the terms and conditions of this Agreement; or # decide any issue in a manner that would conflict with the express terms and conditions of this Agreement.

Limitations on Authority of JSC. The JSC will have sole authority with respect to the responsibilities assigned to such committee in this Agreement. The JSC will not have any authority to (and so the ​ Executive Officer through his or her decision-making authority in Section 2.5 (Decision-making of JSC) may not):

Limitations of JSC Authority. Notwithstanding the foregoing, neither the JSC nor the Party with final decision-making authority as set forth in Section 3.2.4 shall have the authority to: # modify or amend the terms and conditions of this Agreement; # waive or determine either Party’s compliance with this Agreement; # decide any issue in a manner that would conflict with the express terms and conditions of this Agreement; or # obligate either Party to violate Applicable Laws or incur any material liabilities or payment obligations.

Limits on JSC Authority. Each Party will retain the rights, powers and discretion granted to it under this Agreement and no such rights, powers, or discretion will be delegated to or vested in the JSC unless such delegation or vesting of rights is expressly provided for in this Agreement or the Parties expressly so agree in writing.
