Amendments to Bellus License Agreement. Bellus shall give prompt notice to [[Organization B:Organization]], together with a detailed summary of outstanding issues if [[Organization B:Organization]] so requests, of any notice received from or given to FB Health of any proposed amendments or proposed modifications of, or any proposed waivers under, the Bellus License Agreement.

Service Contracts and License Agreements. To [[Seller:Organization]]’s knowledge, the list of Service Contracts and License Agreements to be delivered to [[Purchaser:Organization]] pursuant to this Agreement will be correct and complete as of the date of its delivery.

“IP License” shall mean any Copyright License, Patent License, Trademark License or Domain Name License.

“License” means any Patent License, Trademark License, Copyright License or other license or sublicense agreement to which any Grantor is a party.

License of Future Wound Care Applications. Except as specifically set forth in this [Section IV, PBI] may continue and grow its Non Wound Care Business. PBI’s Non Wound Care Business may in the future yield therapies, products, or Intellectual Property Rights suitable for Wound Care applications (“Future Wound Care Applications”). Subject to the terms and conditions of this Agreement, Lundbeck hereby grants to Ovid an exclusive (even as to Lundbeck), royalty-bearing, perpetual, sub-licensable (through multiple tiers) licence under the Licensed IP to research, have researched, Develop, have Developed, use, have used, make and have made (subject to [Section 5.10]), Commercialise and have Commercialised Compound and/or Product in the Field in the Territory (the “License”).

Future Payment under the License Agreements. Zai Lab shall be solely responsible for any milestone payment due under the License Agreements for milestone events achieved after the Effective Date, including the milestone payment for ​.

Leases, Service Contracts and License Agreements. [[Seller:Organization]] will perform its obligations under the Leases, Service Contracts and License Agreements.

Each trademark license, including, without limitation, each trademark license listed on [Schedule 1] annexed hereto, together with all goodwill associated therewith;

Attempts to transfer or assign its rights and obligations under this License Agreement, except as expressly provided in this License Agreement.
