License Fee. In consideration for the exclusive rights and licenses granted by Licensor to Licensee hereunder, Licensee shall pay to Licensor a license fee equal to sixty million USD (US $60,000,000) within ​ days following the Effective Date in accordance with the payment provisions of [Article 7]. Payment made in accordance with this Article 6.1 shall be non-refundable, non-creditable and non-cancellable.

License Fee. On or before the Effective Date, the Licensee shall pay to UABRF a non­ refundable, non-creditable license fee of TWENTY-FIVE THOUSAND DOLLARS ($25,000.00).

License Execution Fee. As consideration for the rights conveyed by Baylor under this Agreement, Cell Medica has paid Baylor a non-refundable total license fee (the “License Execution Fee”) comprising: # ​ in cash in immediately available funds by wire transfer to Baylor’s Account; and # certain BCM Preference Shares.

Commercial License Fee. If Roche exercises the Commercial License Option set forth in [Section 6.6.4(a)] with respect to Off-The-Shelf TCR-Expressing Cell Therapies Directed To a particular Licensed Target (which shall become a Designated Licensed Target as a result of such exercise) and Personalized TCR-Expressing Cell Therapies, Roche shall pay Poseida a one- time, non-creditable, non-refundable commercial license fee in the amount of ​ (“Commercial License Fee”). Poseida shall invoice Roche for the Commercial License Fee after written notice from Roche of its election to exercise the Commercial License Option pursuant to [Section 6.6.4(a)], and Roche will pay Poseida within ​ of receipt of an undisputed invoice from Poseida with respect thereto.

License Fee In partial consideration of # the extension of the Licensee Territory to include the China Territory and # Licensor’s causing CANbridge to enter into the TSA, Licensee will pay Licensor the sum of $50,000,000 within ​ (​) Business Days of the Amendment 3 Effective Date.

License Execution Fee. As partial consideration for the rights conveyed by BCM under this Agreement, LICENSEE shall pay BCM a non-refundable license fee of ​. Such payment shall be due upon the following schedule:

For execution of this AGREEMENT, LICENSEE has paid to HMGU € 10,000.00 in compliance with [Section 4.2] of the ORIGINAL LICENSE AGREEMENT.

License Execution Fee. As partial consideration for the rights conveyed by BCM under this Agreement, LICENSEE shall pay BCM a non-refundable license fee of ​. Such payment shall be due upon the following schedule:

License Maintenance Fee. As further consideration for the License, Licensee will pay an annual maintenance fee (“Maintenance Fee”) as set forth on Exhibit C attached hereto beginning on the first anniversary of the Effective Date. The Maintenance Fee will not be due and payable on any anniversary of the Effective Date if on that date Licensee is paying a Royalty or the Minimum Annual Royalty. For clarity, the Maintenance Fee is ​.

License Fee. As partial consideration for the licenses granted hereunder, Licensee agrees to issue to [[Organization A:Organization]] and its designees, within thirty (30) days of the Effective Date, 500,000 shares of Licensee's Common Stock, par value $0.001 per share, pursuant to the terms of a Stock Subscription and Right of First Refusal Agreement.
