License Fee” has the meaning set forth in Section 4.1.

License Fee. Licensee will pay Licensor the License Fee in two equal installments of $** each. Licensee will pay the first installment of $** upon delivery of the SDK as set forth in Section 2.1, and the second installment of $** within (i) seven (7) days of deposit of the Escrow Materials or (ii) within two (2) business days of Licensor's completion of the professional services described in Exhibit B, whichever occurs later.

Payor, on behalf of Licensee, shall pay to Licensor a forty-two million five-hundred thousand dollar (USD $42,500,000) license and use fee (the “License Fee”) during each calendar year, for so long as this Agreement is in effect and has not expired or been terminated. Any Payment (as defined below) due for any partial calendar year of the Term will be prorated. The License Fee is in consideration for: (a) the exclusive license to Licensor’s undivided 72.04% ownership interest in and to the Licensed Marks granted to Licensee pursuant to Section 2; (b) Licensor’s waiver of certain rights to use, license, register, defend, or enforce the Licensed Marks during the Term; and (c) Licensor’s acknowledgement that Licensee will enjoy the exclusive rights in and to the Licensed Marks, subject to the terms of this Agreement and the 2017 IP License Agreement.

License Fee. In partial consideration of the licenses and rights granted to Incyte hereunder, within [ * ] after the Effective Date, Calithera shall submit an invoice to Incyte for a one-time, non-creditable, non-refundable license fee of Forty-Five Million U.S. Dollars (USD 45,000,000), which Incyte shall pay within [ * ] after receipt.

License Fee. In consideration of the licenses granted to Bayer under Section 5.1, Bayer shall pay to Dimension a non-refundable, non-creditable license fee of Twenty Million Dollars ($20,000,000) within [***] of receipt of an invoice therefor, which such invoice may be delivered to Bayer on or after the Original Effective Date.

License Fee. In consideration for the license granted by Licensor to Licensee under Section 3 of this Second Amendment, Licensee shall pay to Licensor a license fee equal to four million USD (US $4,000,000) within [***] ([***]) days following the Effective Date of the Second Amendment in accordance with the payment provisions of Article 7 of the Agreement. Payment made in accordance with this Section 5(a) shall be non-refundable, non-creditable and non-cancellable.

The License Fee includes payment for the performance of the professional services detailed in Section 3 above, including installation of the Licensed Software on Licensee’s platform.
