Letter of Credit Fees. The shall pay to the [[Administrative Agent:Organization]] for the account of each Revolving [[Organization A:Organization]] in accordance, subject to [Section 2.15], with its Applicable Revolving Percentage a Letter of Credit fee (the “Letter of Credit Fee”) for each Letter of Credit equal to the Applicable Rate times the daily amount available to be drawn under such Letter of Credit. For purposes of computing the daily amount available to be drawn under any Letter of Credit, the amount of such Letter of Credit shall be determined in accordance with [Section 1.06]. Letter of Credit Fees shall be # due and payable on the last Business Day of each March, June, September and December, commencing with the first such date to occur after the issuance of such Letter of Credit, on the Letter of Credit Expiration Date and thereafter on demand and # computed on a quarterly basis in arrears. If there is any change in the Applicable Rate during any quarter, the daily amount available to be drawn under each Letter of Credit shall be computed and multiplied by the Applicable Rate separately for each period during such quarter that such Applicable Rate was in effect.

Letter of Credit Fees. Each Defaulting shall be entitled to receive Letter of Credit Fees for any period during which that is a Defaulting only to the extent allocable to its Applicable Revolving Percentage of the stated amount of Letters of Credit for which it has provided Cash Collateral pursuant to [Section 2.14].

SECTION # Effect of Letter of Credit Application. To the extent that any provision of any Letter of Credit Application related to any Letter of Credit is inconsistent with the provisions of this [Article III], the provisions of this [Article III] shall apply.

“L/C Application” means, with respect to any request for the issuance of a Letter of Credit, a letter of credit application in the form being used by an Issuing Lender at the time of such request for the type of letter of credit requested.

LC Application: an application by Borrower Agent to Issuing Bank for issuance of a Letter of Credit, in form and substance satisfactory to Issuing Bank.

Except as expressly provided herein to the contrary, all payments on the Obligations under the Loan Documents shall be applied in the following order of priority: # the payment or reimbursement of any expenses, costs or obligations (other than the Outstanding Amount thereof and interest thereon) for which Borrower shall be obligated or Administrative Agent, L/C Issuer, Swing Line Lender, or any Lender shall be entitled pursuant to the provisions of this Agreement, the Notes or the other Loan Documents; # the payment of accrued but unpaid interest thereon; and # the payment of all or any portion of the principal balance thereof then outstanding hereunder as directed by Borrower; provided that any prepayment of the Term Loans shall be applied to installments due thereon in the inverse order of maturity. If an Event of Default exists under this Agreement, the Revolving Credit Notes or under any of the other Loan Documents, any such payment shall be applied as provided in Section 10.3 below.

Borrowing [[Organization B:Organization]], on behalf of [[Organization A:Organization]], may request [[Organization B:Organization]] to issue or cause the issuance of a Letter of Credit by delivering to [[Organization B:Organization]] at the Payment Office, prior to 12:00 p.m., at least five (5) Business Days' prior to the proposed date of issuance (or such shorter period as may be agreed to by [[Organization B:Organization]]), [[Organization B:Organization]]'s form of Letter of Credit Application (the "Letter of Credit Application") completed to the satisfaction of [[Organization B:Organization]]; and, such other certificates, documents and other papers and information as [[Organization B:Organization]] may reasonably request. Borrowing [[Organization B:Organization]], on behalf of [[Organization A:Organization]], also has the right to give instructions and make agreements with respect to any application, any applicable letter of credit and security agreement, any applicable letter of credit reimbursement agreement and/or any other applicable agreement, any letter of credit and the disposition of documents, disposition of any unutilized funds, and to agree with [[Organization B:Organization]] upon any amendment, extension or renewal of any Letter of Credit.
