Expenses. The [[Guarantor:Organization]] shall pay on demand all reasonable out-of-pocket expenses (including the reasonable fees, charges and disbursements of a single domestic firm and, if reasonably requested by the Administrative Agent, a single foreign firm, of counsel for the Administrative Agent and the [[Lenders:Organization]], unless a conflict exists, in which case, reasonable fees and expenses of reasonably necessary additional counsel for the affected Lender(s) shall be covered) in any way relating to the enforcement or protection of the Administrative Agent’s and the [[Lenders:Organization]]’ rights under this Guaranty, including any incurred during any “workout” or restructuring in respect of the [[Company:Organization]] SA Obligations. The obligations of the [[Guarantor:Organization]] under this paragraph shall survive the payment in full of the [[Company:Organization]] SA Obligations and termination of this Guaranty.

Expenses. The Executive shall be entitled to receive prompt reimbursement for any and all # reasonable expenses incurred by him during the Term in performing services hereunder, in accordance with the policies and procedures then in effect and established by the Company for its senior executive officers. Any reimbursement that the Executive is entitled to receive shall # be paid as soon as practicable and in any event no later than the last day of the Executive’s tax year following the tax year in which the expense was incurred, # not be affected by any other expenses that are eligible for reimbursement in any tax year, and # not be subject to liquidation or exchange for another benefit.

Expenses. The expenses of administering the Plan shall be borne by the Company and its subsidiaries in such proportions as shall be agreed upon by them from time to time.

Expenses. The Company agrees to reimburse ICV monthly for all Company requested reasonable out-of-pocket expenses incurred by ICV in connection with the matters contemplated by this Agreement. All expenses need pre-approval by the company

The Company will pay or reimburse the Executive for all reasonable travel and other business out-of-pocket expenses which have been actually and properly incurred. The Executive will supply the Company with the originals of all vouchers, bills, statements or receipts in respect of which the Executive seeks reimbursement in accordance with Company policy.

Expenses. Each party shall bear its own expenses.

Expenses. Magenta shall not be responsible for reimbursement of any expenses paid or incurred by BTMB unless otherwise agreed to by the Parties in the corresponding Rider(s).

Notwithstanding the above, the Company shall pay or reimburse the Consultant, in accordance with the Company’s then-current reimbursement policy, for any expenses reasonably incurred by Consultant in furtherance of Consultant’s duties hereunder upon submission by Consultant of vouchers, receipts, or itemized lists thereof prepared in compliance with such reimbursement policy and as may be required by the Company in order to permit such payments as proper deductions to Company under the Internal Revenue Code, as amended.

Expenses. The Company will reimburse you for reasonable travel, entertainment or other expenses incurred by you in furtherance of or in connection with the performance of your duties hereunder, in accordance with the Company’s expense reimbursement policies and practices as in effect from time to time.

Expenses. Whether or not the transactions contemplated by this Agreement are fully consummated, each Guarantor shall promptly pay (or reimburse, as the Administrative Agent may elect) all costs and expenses which the Administrative Agent has incurred or may incur in connection with the negotiation, preparation, reproduction, interpretation, administration and enforcement of this Agreement and all amendments, waivers, modifications and supplements hereto and the collection of all amounts due hereunder.
