Opinions of Counsel. Opinions of counsel to the Credit Parties addressed to the Administrative Agent and [[Lenders:Organization]] with respect to the Credit Parties, the Loan Documents and such other matters as the Administrative Agent shall request (which such opinions shall expressly permit reliance, subject to customary conditions, by permitted assigns of the Administrative Agent and [[Lenders:Organization]]).

Opinions of Counsel. On the Effective Date, Lender shall have received from Foley & Lardner LLP and Scudder Law Firm, P.C., L.L.O., counsel to Borrower, opinions addressed to and dated the Effective Date, in form and substance reasonably satisfactory to Lender.

Opinions of Counsel. Administrative Agent shall have received originally executed copies of the favorable written opinions of Borrower’s counsel opining as to such matters as Administrative Agent may reasonably request, dated as of the effectiveness of this Amendment and otherwise in form and substance reasonably satisfactory to Administrative Agent.

Opinions of Counsel. A favorable opinion of Norton Rose Fulbright US LLP, legal counsel to Borrower and Guarantors, as to such matters as Administrative Agent may reasonably request, as to such matters as Administrative Agent may reasonably request;

Legal Requirements. No Awards shall be granted and the Company shall have no obligation to make any payment under the Plan, whether in Shares, cash, or a combination thereof, unless such payment is, without further action by the Committee, in compliance with all applicable Federal and state laws and regulations, including, without limitation, the Code and Federal and state securities laws.

Legal Opinion. [[Organization B:Organization]] shall have received the executed legal opinion of Pachulski Stang Ziehl & Jones LLP, Fasken Martineau DuMoulin LLP, and Baker McKenzie LLP, and other legal counsel of the [[Organization A:Organization]] reasonably acceptable to [[Organization B:Organization]];

Legal Opinion. [[Organization B:Organization]] shall have received an executed legal opinion of counsel to the Applicant Borrower reasonably satisfactory to [[Organization B:Organization]] which shall cover such matters incident to the transactions contemplated by the Designated Borrower Request and Assumption Agreement and the Other Documents and related agreements as [[Organization B:Organization]] may reasonably require;

Legal Impediments. No law or regulation shall be applicable that restrains, prevents or imposes materially adverse conditions upon the Revolving Facility.

Legal Remedy. After exhaustion of the claims procedure as provided under this Plan, nothing will prevent any person from pursuing any other legal remedy.

Legal Counsel. I acknowledge that I have either been advised by independent legal counsel regarding the legal effect of this document and, having been so advised, desire to enter into this legally binding Agreement.
