Opinions of Counsel. In connection with the effectiveness of this Agreement, Agent and Lenders shall have received such opinions of counsel as Agent or any Lender shall reasonably request, all in scope and substance reasonably satisfactory to Agent and Lenders.

Agent shall have received the written opinions, dated the date of this Agreement, of counsel to Borrower, with respect to this Agreement, which written opinions shall be in form and substance reasonably satisfactory to Agent and its counsel;

Agent shall have received an opinion of the Loan Parties’ counsel, including, without limitation opinions of local counsel as may be reasonably requested by the Agent, in each case, in form and substance reasonably satisfactory to Agent;
