Opinions. The Administrative Agent shall have received one or more reasonably satisfactory written opinions of counsel for the Company and the Servicer, dated as of the Amendment Effective Date, covering such matters relating to the transactions contemplated hereby.

Opinions. The Administrative Agent and, solely with respect to the corporate opinion, each Lender (or its counsel) shall have received one or more reasonably satisfactory written opinions of counsel for the Company, the Servicer and the Parent, dated as of the Effective Date, covering such matters relating to the transactions contemplated hereby and by the other Loan Documents as the Administrative Agent shall reasonably request in writing.

Opinions of Counsel. Administrative Agent shall have received originally executed copies of the favorable written opinions of Borrower’s counsel opining as to such matters as Administrative Agent may reasonably request, dated as of the effectiveness of this Amendment and otherwise in form and substance reasonably satisfactory to Administrative Agent.

Opinion of Counsel. The Administrative Agent shall have received a favorable opinion of counsel to the Company addressed to the Administrative Agent and the Lenders with respect to the Company, this Amendment and such other matters as the Lenders shall request.
