Legal Opinions. The Administrative Agent, on behalf of the Agents and the Lenders, shall have received opinions addressed to the Administrative Agent from Watson Farley & Williams LLP, special counsel to the Security Parties for this transaction, in such form as the Administrative Agent may require, as well as such other legal opinions as the Lenders shall have required as to all or any matters under the laws of the State of Delaware, the State of New York, the Republic of the Marshall Islands, the United States of America and such other jurisdictions as the Administrative Agent may deem relevant, covering certain of the representations and warranties and conditions which are the subjects of Sections 2 and 4 of the Credit Facility Agreement, respectively.

Legal Opinions. The Administrative Agent shall have received the executed legal opinions of counsel to the Group Members, in form and substance reasonably acceptable to the Administrative Agent. Such legal opinions shall cover such matters incident to the transactions contemplated by this Agreement as the Administrative Agent may reasonably require and shall be addressed to the Administrative Agent and the Lenders.

Legal Opinions. The Administrative Agent (or its counsel) shall have received, on behalf of itself and the Lenders on the Closing Date a customary written opinion of [[Organization A:Organization]], in its capacity as special counsel to the Loan Parties.

Legal Opinions. The Agent shall have received an executed legal opinion of Kirkland & Ellis LLP, counsel to the Loan Parties, in form and substance reasonably satisfactory to the Agent.

Legal Opinions. The Administrative Agent, the Arrangers and the Specified Refinancing Lender shall have received customary written opinions of # Kirkland & Ellis LLP special counsel to the Loan Parties, # Perkins Coie LLP, special Washington counsel to the Loan Parties, # Brownstein Hyatt Farber Schreck, LLP, special Nevada counsel to the Loan Parties and # Eversheds Sutherland (Netherlands) B.V., special Netherlands counsel to the Loan Parties. The Loan Parties hereby request such counsel to deliver such opinions.

Legal Opinions. The Agent shall have received the opinions and negative assurances of Company Counsel and Intellectual Property Counsel required to be delivered pursuant to Section 7(m) on or before the date on which such delivery of such opinions are required pursuant to Section 7(m).

Legal Opinions. The Administrative Agent shall have received the following executed legal opinions, each in form and substance reasonably satisfactory to the Administrative Agent:

The Administrative Agent shall have received the executed legal opinions of Pillsbury Winthrop Shaw Pittman LLP, counsel to the Borrower and its Restricted Subsidiaries and certain other local counsel to the Borrower and its Restricted Subsidiaries as reasonably requested by the Administrative Agent, each in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received an opinion from # Wachtell, Lipton, Rosen & Katz LLP, New York counsel to the Loan Parties, # Kramer Levin Naftalis & Frankel LLP, Delaware counsel to the Loan Parties, # Advisors LLP, California counsel to the Loan Parties and # in house counsel for the Borrower.
