Such fees or expenses shall be reimbursed by the Corporation reasonably promptly following receipt of a copy of any invoice from the Executive evidencing the payment by the Executive of such fees or expenses. If such fees or expenses are paid in Canadian dollars, the application of the US$100,000 cap under this [Section 5.0] shall be applied by converting the reimbursed amounts to U.S. dollars based on the spot exchange rate at the time of the reimbursement.

The Company and Executive will each bear their own respective legal and other expenses incurred in connection with the negotiation, execution and delivery of this Agreement; provided, however, that the Company shall reimburse the reasonable legal fees and expenses then incurred by Executive up to a maximum of $15,000 in the aggregate for all such expenses.

Attorneys’ Fees. The Company shall reimburse the Executive for up to $10,000 in attorneys’ fees that he incurs in connection with the negotiation of this Agreement, including without limitation the Consulting Agreement attached as Exhibit A. For the avoidance of doubt, such reimbursement shall be subject to tax-related deductions and withholdings.
