Legal Expenses. The Borrower hereby agrees to pay, as and when required by [Section 12.03] of the Credit Agreement, all reasonable and documented out-of-pocket fees and expenses of counsel to Administrative Agent incurred by Administrative Agent in connection with the preparation, negotiation and execution of this First Amendment and all related documents.

Legal Expenses. The Company shall pay or reimburse the Executive for reasonable legal fees (including without limitation, any and all court costs and attorneys’ fees and expenses) incurred by the Executive in connection with or as a result of any claim, action or proceeding brought by the Company or the Executive with respect to or arising out of this Agreement or any provision hereof.

Legal Expenses. The Borrower hereby agrees to pay all reasonable fees and expenses of counsel to the Administrative Agent incurred by the Administrative Agent in connection with the preparation, negotiation and execution of this Amendment and all related documents.

Legal Expenses. Within thirty (30) days after the receipt by Employer of detailed receipts from Employee, Employee shall be entitled to reimbursement of the reasonable attorneys’ fees incurred by him to negotiate this Agreement up to a maximum of Ten Thousand Dollars ($10,000).

Legal Expenses. If any action is instituted by the Indemnified Party under this Agreement to enforce or interpret any of the terms hereof, the Indemnified Party shall be entitled to be paid all Expenses, including the reasonable fees of counsel, incurred by the Indemnified Party with respect to such action, unless as a part of such action, the court of competent jurisdiction determines that any of the material assertions made by the Indemnified Party as a basis for such action were not made in good faith or were frivolous and vexatious.

Legal Expenses. In the event of any litigation (including any counterclaim, cross‑claim, or claim in a bankruptcy or receivership proceeding) for the enforcement of any of the terms and conditions of this Lease, the prevailing party shall be entitled to recover from the other party all third party costs and expenses actually incurred as a result of the litigation, including, but not limited to, attorneys’ fees and costs.

Legal Expenses. The Company shall reimburse Sook, upon presentation of an appropriate invoice or invoices, for reasonable legal fees and expenses incurred by him in connection with the negotiation, drafting and execution of this Agreement.

Legal Expenses. Notwithstanding anything to the contrary herein, the Borrowers hereby agree to pay all reasonable and documented fees and expenses of special counsel to the Administrative Agent incurred by the Administrative Agent in connection with the preparation, negotiation and execution of this Amendment and all related documents required to be paid by the Borrowers pursuant to [Section 9.03(a)] of the Credit Agreement, including further settling of accounts between the Borrowers and the Administrative Agent with respect to such fees and expenses, including any fees and expenses incurred after the period covered by any invoice submitted on the date hereof.

Legal Expenses. In the event of any claim, dispute, litigation, arbitration or other proceeding relating to Section 3 of this Agreement in which the Company is the prevailing party, the Company shall be entitled to receive, and Employee shall pay upon demand, reasonable attorneys’ fees and related costs incurred by the Company in connection with the resolution of such claim, dispute, litigation, arbitration or other proceeding. If the Company is not the prevailing party in such a claim, dispute, litigation, arbitration or other proceeding, the Company shall pay Employee upon demand, reasonable attorneys’ fees and related costs incurred by Employee in connection with the resolution of such claim, dispute, litigation, arbitration or other proceeding.

Legal Expenses. The Borrower hereby agrees to pay all reasonable fees and expenses of counsel to the Administrative Agent incurred by the Administrative Agent in connection with the preparation, negotiation and execution of this Amendment and all related documents.
