LEED. As of the Effective Date, the Building is registered LEED Platinum with the U.S. Green Building Council and Landlord, at Landlord’s sole expense, is pursuing LEED Platinum Certification under LEED for Building Design and Construction v2009 Core and Shell for the core and shell of the Building. Landlord, at Landlord’s sole expense, may pursue any other LEED Certification with the U.S. Green Building Council, or such other Green Agency Ratings as Landlord desires from time to time. In that regard, Tenant acknowledges that the Building has been constructed with the goal of achieving the objectives described in [Exhibit F] hereto (although the foregoing shall not be construed as any guarantee that any aspirational metric or status described therein will necessarily be achieved or maintained).

Certification. Buyer shall have received a certificate, dated the Closing Date, signed by an officer of HoldCo certifying that the conditions specified in Sections 6.1(a) and (b) above have been fulfilled.

Certification. The Award shall vest (if at all) only if, to the extent, and when the Committee certifies:

Certification. The [[Organization E:Organization]] shall have received a certificate, dated the Second Amendment Effective Date and signed by a [[Organization F:Organization]], confirming compliance with the conditions set forth in [clauses (b), (c), (d) and (e) of this Section 3].

Certification. SCI represents, warrants and certifies that neither it, nor its Affiliates, nor any of their respective directors, officers, principals, employees and agents was or is debarred, suspended, proposed for debarment or otherwise determined to be ineligible to participate in the drug industry, federal health care programs under or convicted of a criminal offense related to the provision of health care items or services the United States Food, Drug and Cosmetic Act (21 U.S.C. 301 et seq.), and that it has not and will not use in any capacity the services of any entity or person debarred under such law with respect to Consulting Services to be performed under this Agreement. In the event that SCI, or any of its affiliates, directors, officers, principals, employees, or agents becomes or is debarred, suspended, proposed for debarment or otherwise determined to be ineligible to participate in the drug industry under such law or convicted of a criminal offense related to the provision of health care items or services, SCI shall notify Therapeutics in writing immediately.

All TIs (not including TIs in any GMP manufacturing suite) are required to achieve and obtain ID+C LEED Silver certification.

Certification of Public Information. Borrower and each Lender acknowledge that certain of the [[Organization B:Organization]] may be Public [[Organization B:Organization]] and, if documents or notices required to be delivered pursuant to this ‎[Section 5.01] or otherwise are being distributed through a Platform, any document or notice that the Borrower has indicated contains Non-Public Information shall not be posted on that portion of the Platform designated for Public [[Organization B:Organization]]. Borrower agrees to clearly designate all information provided to the Administrative Agent by or on behalf of the Borrower which is suitable to make available to Public [[Organization B:Organization]]. If the Borrower has not indicated whether a document or notice delivered pursuant to this ‎[Section 5.01] contains Non-Public Information, the Administrative Agent reserves the right to post such document or notice solely on that portion of the Platform designated for [[Organization B:Organization]] who wish to receive Non-Public Information with respect to the Borrower, its Subsidiaries or their respective securities; and
