Lawsuits. No suit may be brought by or on behalf of any Participant or Beneficiary on any matter pertaining to this Plan unless the action is commenced in the proper forum within two (2) years from the earlier of:

In connection with the execution of this Agreement, and no later than five (5) business days following the receipt by RealBiz of the consideration referenced in [Section 2(a)] and following the instructions given to AST in 2(b) above, RealBiz, through its counsel, shall file a Joint Stipulation of Dismissal with Prejudice and submit an agreed order granting and approving same in Federal Lawsuit One to effectuate a dismissal of all claims between the parties with prejudice, with each party bearing their own costs and expenses, including, but not limited to, attorneys’ fees, except RealBiz shall pay for AST’s legal fees in connection with Federal Lawsuit One, Federal Lawsuit Two and Broward Lawsuit vis-a-vis their indemnity obligations.

No Judgments, Lawsuits, Investigations. Except as disclosed on [Schedule 6.1(i)], there are no # outstanding judgments, orders, injunctions or decrees of any judicial, governmental or regulatory body or arbitral tribunal against or affecting Farmor in relation to the Contract or the Contract Area; # lawsuits, actions or proceedings commenced, pending or, to the knowledge of Farmor, threatened in writing against Farmor in relation to the Contract or the Contract Area; or # investigations by any Governmental Entity which have been commenced or are pending or threatened in writing against Farmor, in all cases which would prevent Farmor from performing its obligations under this Agreement and any other documents to which it is a party, or is to become a party, pursuant to or in connection with this Agreement.

No Pending or Future Lawsuits. Employee represents that Employee has no lawsuits, claims, or actions pending in Employee’s name, or on behalf of any other person or entity, against the Company Group or any of the other Releasees. Employee also represents that Employee does not intend to bring any claims on Employee’s own behalf or on behalf of any other person or entity against the Company Group or any of the other Releasees.

The four above-referenced lawsuits are sometimes collectively referred to herein as the “Lawsuits.”

4.5Settlement of claims and lawsuits

Licensor shall have the sole and exclusive right, in its discretion, to institute and prosecute lawsuits against third persons for infringement of the Licensed Patents. Licensee shall not be entitled to any sums recovered in such lawsuits, whether such sums are recovered by judgment, settlement or otherwise.

The Corporation agrees to indemnify the Employee from any and all lawsuits filed directly against the Employee by a third party in his capacity as Employee and/or Director of the Corporation. The Corporation will pay all attorneys’ fees and costs to defend the Employee from any such lawsuits.
