Additional Landlords Services. Subject to reimbursement pursuant to Section 5.2 above, and subject further to Landlords Force Majeure, Landlord shall provide the services described in Exhibit 9 attached hereto and made a part hereof, the costs of which shall be included in Operating Costs.

Landlords Services. Subject to reimbursement pursuant to Section 5.2 above, Landlord shall provide the services described in Exhibit 7 attached hereto and made a part hereof (“Landlords Services”). Except for the cost of providing and maintaining supplemental HVAC equipment exclusively serving the Premises (which shall be Tenants responsibility), all costs incurred in connection with the provision of Landlords Services shall be included in Operating Costs to the extent allowable pursuant to Section 5.2.

Services. Client has, or shall promptly, deliver the Digital Asset mining equipment listed in [Exhibit A] attached hereto (the “Client Equipment”) to Host. Host shall receive and test the Client Equipment, engage in cryptocurrency mining and operation of the Client Equipment, provide rack space allocation for the Client Equipment (“Client Space”), installation services, electrical power connection, cooling infrastructure, network connectivity, security, and technical support, as outlined in this Agreement (collectively, the “Services”), for the Term.

Landlords Services. Landlord shall provide the services described in [Exhibit 7] attached hereto and made a part hereof (“Landlords Services”). All costs incurred in connection with the provision of Landlords Services shall be included in Operating Costs subject to, and in accordance with Section 5.2.

Except as otherwise provided in this Lease, Landlord agrees to provide all electric current required for the operation of all heating, ventilating and air conditioning systems that serve the Building (excluding the VAV distribution units in the Premises or the premises of any other tenant in the Building) and all lighting for common areas of the Building. Landlord shall work with the utility company to provide electric service to the point where the service connects to Tenants meter. In the event Tenant requires electric current for use in the Premises in excess of the capacities presently available in the Premises or to be made available therein pursuant to Section 4 hereof, Landlord shall upon written request and at the sole cost and expense of Tenant, furnish the Premises with such equipment and appurtenances as are necessary to supply such additional current, provided that such current is available to Landlord and further provided that the same shall be permitted by applicable laws and insurance regulations and shall not cause permanent damage to the Building or the Premises or cause or create a dangerous or hazardous condition or entail excessive or unreasonable alterations or repairs or interfere with or disturb other tenants or occupants of the Building. Tenant shall reimburse Landlord for such additional cost, as aforesaid.

Services. During the Term, you shall provide consulting services to the Company regarding strategic matters on the terms and subject to the conditions of this consulting agreement. You agree that you will obtain advance written approval from Scott Hoffman before providing services to or becoming engaged by any other individual or entity.

So long as this Lease is in full force and effect, Landlord shall furnish the following services the cost of which services shall be included in Operating Expenses or paid directly by Tenant to utility or service provider:

Except for the cost of providing and maintaining supplemental HVAC equipment (which shall be Tenants responsibility), all costs incurred in connection with the provision of Landlords Services shall be included in Operating Costs. Landlord shall allocate to the Premises a portion of the total amount of such costs incurred with respect to the Building based upon the cubic footage of heated, chilled, and fresh air distributed in the Premises as indicated by the energy management system serving the Building as a percentage of the aggregate cubic footage of heated, chilled, and fresh air distributed in the entire Building for the applicable period. Tenant shall pay such costs monthly, together with monthly installments of Base Rent, on an estimated basis in amounts from time to time reasonably determined by Landlord. After the close of each fiscal year, Landlord shall determine the actual amount of such costs for such year and deliver to Tenant a reasonably detailed statement thereof, together with a statement of the amounts paid by Tenant on an estimated basis toward such costs as aforesaid. If such statement indicates that the estimated amounts paid by Tenant are less than Tenants allocable share of the actual amount of such costs for such fiscal year, then Tenant shall pay the amount of such shortfall to Landlord within thirty (30) days after delivery of such statement. If such statement indicates that Tenants estimated payments for such year exceed the actual amount of such costs for such year, then Landlord shall credit the excess against the next due installment(s) of Additional Rent payable under this Section 9.6.

Landlord covenants during the Term:

SERVICES. Consultant shall provide services described in [Exhibit 1] (“Services”) for the Company.
